All sums so disbursed by the Administrative Agent shall constitute part of the Obligations, payable as provided in this Agreement. If at any time any Mortgaged Property is located in a designated “special flood hazard area” with respect to which flood insurance has been made available under applicable Flood Laws, the Loan Parties will # maintain fully paid flood hazard insurance on such Mortgaged Real Property on such terms and in such amounts as required by The National Flood Insurance Reform Act of 1994, and # provide within thirty (30) days (or such longer period as the Administrative Agent shall agree) evidence of such coverage as Administrative Agent may reasonably request, including, without limitation, # copies of any such flood insurance policies naming the Administrative Agent as loss payee and # the applicable Loan Party’s application for a flood insurance policy plus proof of premium payment, in each case to the extent requested by the Administrative Agent.

SECTION # Insurance. The Company will,Holdings, the Borrower and each other Subsidiary will cause each Subsidiary to, maintainmaintain, with financially sound and reputable insurance companiescompanies, insurance on all their Property in such amounts, subject toamounts (with no greater risk retention) and against such deductibles and self-insurance retentions, and covering such properties and risks as is consistent with sound business practice,are customarily maintained by companies of established repute engaged in the same or similar businesses operating in the same or similar locations. Each such policy of liability or casualty insurance maintained by or on behalf of Loan Parties, unless otherwise agreed by the Administrative Agent, shall # in the case of each liability insurance policy, name the Administrative Agent, on behalf of the Lenders, as an additional insured thereunder, # in the case of each casualty insurance policy, contain a lender loss payable clause or endorsement that names the Administrative Agent, on behalf of the Lenders, as the lender loss payee thereunder and # provide for at least 30 days’ (or such shorter number of days as may be agreed to by the Company will furnish to any Lender upon reasonable request full information as to the insurance carried. The Company shall deliverAdministrative Agent) prior written notice to the Administrative Agent endorsements #of any cancellation of such policy. If at any time anyeach Mortgaged Property that is located in a designated “specialan area determined by the Federal Emergency Management Agency to have special flood hazard area”hazards, the applicable Loan Party has obtained, and will maintain, with respect to which floodfinancially sound and reputable insurance has been made available under applicable Flood Laws, the Loan Parties will # maintain fully paid flood hazard insurance on such Mortgaged Real Property on such terms and in such amounts as required by The National Flood Insurance Reform Act of 1994, and # provide within thirty (30) days (or such longer period as the Administrative Agent shall agree) evidence of such coverage as Administrative Agent may reasonably request, including, without limitation, # copies of anycompanies, such flood insurance policies namingas is required under applicable law, including Regulation H of the Administrative Agent as loss payee and # the applicable Loan Party’s application for a flood insurance policy plus proofBoard of premium payment, in each case to the extent requested by the Administrative Agent.Governors.

SECTION # Maintenance of Insurance. The Company will,Borrower and its Subsidiaries will cause each Subsidiary to, maintain with financially sound and reputable(with insurance companies of recognized financial responsibility) or cause to be maintained (including through self-insurance) insurance on allwith respect to their Propertyproperty and business against such liabilities and risks, in such amounts, subject totypes and amounts and with such deductibles andor self-insurance risk retentions, in each case as are in accordance with customary industry practice for companies engaged in similar businesses operating in the same or similar locations as the Borrower and coveringits Subsidiaries (taken as a whole). The loss payable clauses or provisions in # the applicable property loss policies insuring any of the Collateral shall be endorsed in favor of and made payable to the Administrative Agent, for the benefit of the Secured Parties, as a “lender loss payee” or other formulation acceptable to the Administrative Agent, and # each of the Borrower’s comprehensive and general liability policies and well control and gradual pollution policies (to the extent in existence) shall name the Administrative Agent, for the benefit of the Secured Parties, as “additional insured”. All policies of insurance described in clauses (a) and (b) of the preceding sentence shall provide that each insurer shall endeavor to give at least thirty (30) days prior written notice to the Administrative Agent of any cancellation of such properties and risks as is consistent with sound business practice, andinsurance (or ten (10) days in the Company will furnish to any Lender uponcase of cancellation for non-payment of premiums). Upon the reasonable request full information asof the Administrative Agent from time to time, the insurance carried. The Loan Parties shall maintain insurance retentions, and covering such properties and risks as is consistent with sound business practice, andon the Company will furnish to any Lender upon reasonable request full information asCollateral to the extent required by the Collateral Documents. All such policies of insurance carried.shall contain customary lender’s loss payable endorsements, naming the Administrative Agent (or its security trustee) as a lender loss payee, assignee or additional insured, as appropriate, as its interest may appear, and showing only such other loss payees, assignees and additional insureds as are satisfactory to the Administrative Agent. Each policy of insurance or endorsement shall contain a clause requiring the insurer to give not less than thirty (30) days’ (ten (10) days’ in the case of nonpayment of insurance premiums) prior written notice to the Administrative Agent in the event of cancellation of the policy for any reason whatsoever. The CompanyBorrower shall # use commercially reasonable efforts without undue burden or expense to Borrower to deliver to the Administrative Agent endorsementson the Closing Date or # deliver to all “All Risk” physical damage insurance policies on all of the Loan Parties’ tangible real and personal property and assets and business interruption insurance policies naming the Administrative Agent loss payee, and # to all general liability and other liability policies naming the Administrative Agent an additional insured. Notwithstanding the foregoing, no endorsements are required to be delivered hereunder prior to the date which is thirty (30) days after the Restatement EffectiveClosing Date orand at such later date as the Administrative Agent may agree in the exercise of its reasonable discretion with respect thereto.
