“Knowledge of One Stop or One Stop’s Knowledge” or any other similar knowledge qualification, means the actual or constructive knowledge of any director or officer of One Stop, after due inquiry.

“Knowledge” means the actual knowledge of the officers of a party, and knowledge that a reasonable person in such capacity should have after due inquiry.

“Knowledge of the Seller” and “Seller’s Knowledge” means the Seller’s actual knowledge after reasonable inquiry of and investigation by the Senior Management Team.

“Seller’s Knowledge” or “Knowledge of Seller” shall mean the actual knowledge as of the Closing Date of Kevin Nowlan, Chris Villavarayan, Robert Speed, Mark Schaitkin or April Miller Boise.

“Knowledge”, “known”, or words of like import means actual knowledge after reasonable investigation.

References to a Party’s (or the Target Company’s) “knowledge” and the correlative terms “known” and “knows,” means the information to the actual knowledge of the directors of such Party and any information that is unknown to such directors but to the actual knowledge of employees who are in the position responsible for the supervision of the subject matter. The Seller’s knowledge shall include the Target Company’s knowledge.

“Knowledge” means, with respect to the Borrower, the actual knowledge of any Authorized Officer.

Except as otherwise specifically set forth herein, with respect to the Seller, wherever the term “actual knowledge” or “knowledge” is used above, it shall refer to the actual present and conscious awareness or knowledge of ​ for the Seller, without any duty of inquiry or investigation; provided that so qualifying Seller's knowledge shall in no event give rise to any personal liability on the part of ​ or any officer or employee of Seller, on account of any breach of any representation or warranty made by Seller herein. Said terms “actual knowledge” or “knowledge” do not include constructive knowledge, imputed knowledge, or knowledge Seller or ​ do not have but could have obtained through further investigation or inquiry. No broker, agent, or party other than Seller is authorized to make any representation or warranty for or on behalf of Seller. The provisions of this Section 8.14 shall survive the Closing.

All references in this Agreement to "Purchaser's knowledge" or "words of similar import (whether or not such words may be capitalized), # shall refer only to the current actual knowledge of the "Knowledge Party" identified in this Section 8.2 and # shall not be construed to refer to the knowledge of any other officer, director, shareholder, venturer, consultant, employee, agent, property manager or representative of Purchaser. There shall be no personal liability on the part of the Knowledge Party arising out of any representations and warranties made herein. For purposes of this Agreement, the Knowledge Parties shall be Mark Winmill, Thomas O'Malley, John Ramírez, and Russell Kamerman. All references herein to written notice having been given to Seller shall include only those notices actually received by the Knowledge Party or for which Seller shall have received formal written notice.

“Knowledge of Sellers” shall mean the actual knowledge of the following Persons set forth on Section A(ii) of the Sellers Disclosure Letter.
