Know How
Know How contract clause examples

Know-How”. Know-How means proprietary or non-public information or materials, whether patentable or not, including # ideas, discoveries, inventions, improvements or trade secrets, # pharmaceutical, chemical or biological materials, products or compositions, # tests, assays, techniques, data, methods, procedures, formulas or processes, # technical, medical, clinical, toxicological or other scientific data or other information relating to any of the foregoing, and # drawings, plans, designs, diagrams, sketches, specifications or other documents containing or relating to such information or materials.

Know-How”. Know-How means proprietary or non-public information and materials, whether patentable or not, including, # ideas, discoveries, inventions, improvements or trade secrets, # pharmaceutical, chemical and biological materials, products and compositions, # tests, assays, techniques, data, methods, procedures, formulas, and/or processes, # technical and non-technical data and other information relating to any of the foregoing, # drawings, plans, designs, diagrams, sketches, specifications and/or other documents containing or relating to such information or materials, and # business processes, price data and information, marketing data and information, sales data and information, marketing plans and market research.

Know-How” means any and all proprietary information and materials (whether patentable or not) including # ideas, discoveries, inventions, improvements, technology or trade secrets, # pharmaceutical, chemical and biological materials, products, components or compositions, # methods, procedures, formulas, processes, tests, assays, techniques, regulatory requirements and strategies, # biological, chemical, pharmacological, toxicological, pharmaceutical, physical and analytical, clinical or safety data and information, # technical and non-technical data and other information related to the foregoing, and # drawings, plans, designs, diagrams, sketches, specifications or other documents containing or relating to such information or materials.

Know-How” means any # proprietary information or materials, including records, improvements, modifications, techniques, assays, processes, methods, utilities, formulations, compositions of matter, articles of manufacture, materials (including chemical or biological materials), creation, discovery or finding, designs, protocols, formulas, data (including physical data, chemical data, toxicology data, animal data, raw data, clinical data, and analytical and quality control data), dosage regimens, control assays, product specifications, marketing, pricing and distribution costs, algorithms, technology, forecasts, profiles, strategies, plans, results in any form whatsoever, know-how, and trade secrets (in each case, whether or not patentable, copyrightable, or otherwise protectable), and # any physical embodiments of any of the foregoing.

Know-How” means all non-public technical information and know-how in any tangible or intangible form, including # inventions, discoveries, trade secrets, data, specifications, instructions, processes, formulae, materials (including cell lines, vectors, plasmids, nucleic acids and the like), methods, protocols, expertise and any other technology, including the applicability of any of the foregoing to formulations, compositions or products or to their manufacture, development, registration, use or marketing or to methods of assaying or testing them or processes for their manufacture, formulations containing them or compositions incorporating or comprising them, and # all data, instructions, processes, formulae, strategies, and expertise, whether biological, chemical, pharmacological, biochemical, toxicological, pharmaceutical, physical, analytical, or otherwise and whether related to safety, quality control, manufacturing or other disciplines, in each case to the extent not then in the public domain or available from a Third Party. Notwithstanding the foregoing, Know-How excludes Patent claims.

Know-How” means any proprietary data, results, material(s), technology, and nonpublic information of any type whatsoever, in any tangible or intangible form, including: # information, techniques, technology, practices, trade secrets, discoveries, developments, inventions (whether patentable or not), methods, knowledge, know-how, skill, experience, data, results (including assay development, compound screening, chemical, pharmacological, toxicological, preclinical and clinical test data and results), analytical and quality control data, results or descriptions, software and algorithms, reports and study reports; and # compositions of matter, cells, cell lines, assays, animal models and physical, biological or chemical material.

Know-How” means, collectively, inventions, discoveries, improvements, trade secrets and proprietary methods, whether or not patentable, including: # methods of manufacture or use of, and structural and functional information pertaining to, chemical compounds and materials and # compositions of matter, data, formulations, processes, techniques, protocols, assays, know-how and results, including preclinical, pharmaceutical, toxicological and clinical data.

Know-How” means any and all tangible and intangible # techniques, technology, practices, trade secrets, inventions (whether patentable or not), methods, knowledge, know-how, skill, experience, data and results (including pharmacological, toxicological and clinical test data and results), analytical and quality control data, results or descriptions, software and algorithms, and # compositions of matter, cells, cell lines, assays, animal models and physical, biological or chemical material; that, in each case, are not in the public domain.

Know-How” means any and all tangible and intangible # techniques, technology, practices, trade secrets, inventions (whether patentable or not), methods, knowledge, know-how, skill, experience, Data and results (including pharmacological, toxicological and clinical test data and results), analytical and quality control data, results or descriptions, software and algorithms, and # compositions of matter, cells, cell lines, assays, animal models and physical, biological or chemical material; that, in each case, are not in the public domain.

Know-How” means all technical information and know-how, including # inventions, discoveries, trade secrets, data, specifications, instructions, processes, formulae, materials (including cell lines, vectors, plasmids, nucleic acids and the like), methods, protocols, expertise and any other technology, including the applicability of any of the foregoing to formulations, compositions or products or to their manufacture, development, registration, use or marketing or to methods of assaying or testing them or processes for their manufacture, formulations containing them or compositions incorporating or comprising them, and # all data, instructions, processes, formulae, strategies, and expertise, whether biological, chemical, pharmacological, biochemical, toxicological, pharmaceutical, physical, analytical, or otherwise and whether related to safety, quality control, manufacturing or other disciplines.
