Personnel Obligations. Each employee, agent or independent contractor of a Party or its respective Affiliates or sublicensees performing work under a Technology Transfer Plan shall, prior to commencing such work, be bound by obligations to assign all arising intellectual property, including assignment of all inventions Conceived in the performance of such work, including: # promptly reporting any invention, discovery, process or other intellectual property right; # presently assigning to the applicable Party all of his or her right, title and interest in and to any invention, discovery, process or other intellectual property; # cooperating in the ACTIVEUS 188080012v.21

Personnel Obligations. Each employee, agent or independent contractor of a Party or its respective Affiliates or sublicensees performing work under this Agreement shall, prior to commencing such work, be bound by invention assignment obligations, including: # promptly reporting any invention, discovery, process or other intellectual property right; # presently assigning to the applicable Party all of his or her right, title and interest in and to any invention, discovery, process or other intellectual property (excluding any agreements with academic universities and/or other governmental entities, for which a non-exclusive license, or an option for an exclusive license may be obtained); # cooperating in the preparation, filing, prosecution, maintenance, defense, and enforcement of any patent and patent application; and # performing all acts and signing, executing, acknowledging and delivering any and all documents required for effecting the obligations and purposes of this Agreement.
