Good Faith Judgment. The Corporation represents, covenants and agrees that it will exercise good faith judgment in determining the entitlement of the Indemnified Party to indemnification under this Agreement.
Attachment, Judgment, Tax Liens. The issuance or filing against any Borrower or any Guarantor of any lien, attachment, injunction, execution or judgment for the payment of money in excess of $10,000,000 which is not vacated, satisfied or discharged in full or stayed within 30 days after issuance or filing;
Exercise of Judgment in Rendering Services. In providing any Services hereunder that require the exercise of judgment by Service Provider, Service Provider shall perform any such Service in accordance with the standards set forth herein and any additional guidelines Recipient develops and communicates to Service Provider. In performing any services hereunder, Service Provider shall at all times act in a manner reasonably calculated to be in or not opposed to the best interests of Recipient.
In the event that the Court enters an order and final judgment in a form other than that provided above (“Alternative Judgment”) to which the Parties have consented, such Alternative Judgment has become final and non-appealable as if it were a Final Judgment.
“Judgment” means any judgment, order, writ, stipulation, consent order, injunction, or decree or decree.

The laws of Australia permit an action to be brought in a Australian Court on a final and conclusive judgment in personam of a Illinois Court that is subsisting and unsatisfied respecting the enforcement of the Purchase Agreement and the Warrant that is not impeachable as void or voidable under Illinois law for a sum certain if: # the court rendering such judgment had jurisdiction, as determined under the laws of Australia, over the judgment debtor and the subject matter of the action; # such judgment was not obtained by fraud or in a manner contrary to natural justice and the enforcement thereof would not be inconsistent with Public Policy; # the enforcement of such judgment does not constitute, directly or indirectly, the enforcement of foreign revenue, expropriatory or penal laws; # in the case of a judgment obtained by default, there has been no manifest error in the granting of such judgment; and # no new admissible evidence, right or defense relevant to the action is discovered prior to the rendering of judgment by an Australian Court.
