Any judgment or order for the payment of money in excess of $200,000,000 shall be rendered against the [[Organization A:Organization]] or any of its Subsidiaries and either # enforcement proceedings shall have been commenced by any creditor upon such judgment or order and such proceedings shall not have been stayed or # there shall be any period of 30 consecutive days during which such judgment or order shall remain unpaid and a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; or

Any judgment or order for the payment of money in excess of $150,000,000 shall be rendered against the [[Organization A:Organization]] or any of its Subsidiaries and either # enforcement proceedings shall have been commenced by any creditor upon such judgment or order and such proceedings shall not have been stayed or # there shall be any period of 10 consecutive days during which a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; or

Any judgment or order for the payment of money in excess of $150,000,000 (calculated after deducting from the sum so payable each amount thereof which will be paid by any insurer that is not an Affiliate of the [[Organization A:Organization]] to the extent such insurer has confirmed in writing its obligation to pay such amount with respect to such judgment or order) shall be rendered against the [[Organization A:Organization]] or any of its Significant Subsidiaries and either # enforcement proceedings shall have been commenced by any creditor upon such judgment or order or # there shall be any period of 30 (or 60, in the case of any foreign judgment or order) consecutive days during which such judgment or order shall remain unsatisfied and a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; or

Any judgment or order for the payment of money in excess of $150,000,000 shall be rendered against the Company or any of its Material Subsidiaries and either # enforcement proceedings shall have been commenced by any creditor upon such judgment or order or # any such judgment or order shall not be stayed, discharged, paid, bonded or vacated within 30 days; or

any judgment or order against the [[Organization A:Organization]], thea Guarantor or any of their respective Consolidated Subsidiaries is rendered for the payment of money in excess of $50,000,000 over the sum of available insurance therefor and adequate cash reserves for which have not been established and set aside solely for the purpose of payment of such judgment or order and such judgment or order remains unsatisfied and either # enforcement proceedings shall have been commenced by the creditor upon such judgment or order or # there shall be any period of sixty (60) consecutive days during which a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; or

any judgment, order for the payment of money, writ, warrant of attachment or similar process involving an amount in excess of $10,000,000 in the aggregate shall be rendered against the Borrower or any of its Subsidiaries, and either # enforcement proceedings shall have been commenced by any creditor upon such judgment or order or # there shall be a period of 45 consecutive days during which a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; or

a judgment or order for the payment of money in excess of $150,000,000 shall be rendered against ​ or any Subsidiary and such judgment or order shall continue unsatisfied and unstayed for a period of forty-five (45) days;

Judgments or orders for the payment of money in excess of $100,000,000 in the aggregate shall be rendered against the Borrower or any of its Wholly-Owned Subsidiaries and either # enforcement proceedings to attach or levy upon any assets of the Borrower or its Wholly-Owned Subsidiaries shall have been commenced by any creditor to enforce such judgment or order or # such judgment or order shall not be discharged and there shall be any period of 45 consecutive days during which a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; provided, however, that any such judgment or order shall not be subject to this [Section 6.01(f)] to the extent and for so long as # the amount of such judgment or order is covered by a valid and binding policy of insurance between the defendant and the insurer covering payment thereof and # such insurer, which shall be rated at least “A-” by A.M. Best Company, has been notified of, and has not denied in writing the claim made for payment of, the amount of such judgment or order; or

judgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in aggregate amount shall be rendered against the Borrower or any Subsidiary of the Borrower and either # enforcement proceedings shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayed for a period of 30 days;

judgments or orders (other than judgments or orders in respect of Non-recourse Debt) for the payment of money exceeding $150,000,000 in aggregate amount shall be rendered against such Borrower or any Subsidiary of such Borrower and either # enforcement proceedings shall have been commenced by any creditor upon such judgments or orders or # such judgments or orders shall continue unsatisfied and unstayed for a period of 30 days;
