JSC Chairperson. The JSC chairperson will be an employee of Acceleron.

Chairperson. The JSC chairperson (“JSC Chairperson”) shall be designated from the Parties’ JSC Representatives and shall serve for a term of one (1) year. ​ shall appoint the first JSC Chairperson and subsequent appointments will rotate on an annual basis between Apellis and SFJ. The JSC Chairperson will be responsible for drafting and circulating its Party’s draft agenda and ensuring minutes are prepared by its respective Party.

#[[Client:Organization]] shall designate a JSC chairperson. The chairperson of the JSC shall set meeting agendas for the JSC, which shall include any matter that either party requests to be included. Such agendas shall be circulated to all members at least ten (10) business days prior to the date of the relevant meeting. The JSC chairperson shall be responsible for recording, preparing and (within ten (10) business days) issuing draft minutes of the JSC meetings, which draft minutes shall be reviewed, modified and reasonably approved in writing by the all JSC members.

Section # Formation of the Joint Steering Committee. On the Effective Date, the Parties shall establish a joint steering committee (the “JSC”), which shall consist of up to two (2) representatives from each of the Parties, each with the requisite experience and seniority to enable such person to make decisions on behalf of the Party appointing him or her with respect to the issues falling within the jurisdiction of the JSC. As of the Effective Date, each Party’s representatives to the JSC are set forth on [Exhibit 2.1] hereto. From time to time, each Party may substitute one or more of its representatives to the JSC on written notice to the other Party. FWB shall select from its representatives the initial chairperson for the JSC, and every twelve (12) months thereafter, the Party for which the then-current chairperson is not a representative shall select from its representatives the new chairperson for the JSC. The Party with the right to appoint the chairperson may, at any time, change the representative who will serve as chairperson, on written notice to the other Party.

Members. Verrica shall appoint ​ representatives to the JSC, and Lytix shall appoint ​ representatives to the JSC. Each JSC representative may be an officer, employee, or representative of the applicable Party having sufficient experience and knowledge of matters arising within the scope of the JSC’s responsibilities to make decisions with respect thereto. Each Party may replace its representatives at any time upon written notice to the other Party. The JSC shall have an alternating chairperson selected by the Parties on an annual basis, with the first chairperson convening the initial meeting selected by Lytix. The role of the chairperson shall be to convene and preside at the meetings of the JSC and to ensure the preparation of meeting minutes, but, except as set forth in [Section 0], the chairperson shall have no additional powers or rights beyond those held by other JSC representatives.

JSC Chairperson. The JSC shall be co-chaired, with one chairperson designated by Poseida and one chairperson designated by Takeda, whose responsibilities shall include conducting meetings, including, when feasible, ensuring that objectives for each meeting

Party shall designate its initial representatives on the JSC. One # representative from each Party shall alternate in acting as the chairperson of the JSC for one Calendar Year term, with Acorda’s representative chairing the JSC for the first Calendar Year. The chairperson shall not have any greater authority than any other representative on the JSC and shall conduct the following activities of the Joint Steering Committee: # calling meetings of the JSC, # preparing and issuing minutes of each such meeting within thirty (30) days thereafter, and # preparing and circulating an agenda for the upcoming meeting; provided, that the chairperson shall include any agenda items proposed by the Party of which the chairperson is not a representative.

JSC Chairperson. The JSC chairperson will be an employee of [[MyoKardia:Organization]].

“JSC Chairperson” has the meaning ascribed to such term in [Section 5.1.2].

Chairperson. The JSC shall be co-chaired, with one (1) member of the JSC designated by [[Forty Seven:Organization]] and one (1) member of the JSC designated by Ono (the “Chairperson”), who will be responsible for organizing meetings, including, if feasible, ensuring that objectives for each meeting are set and achieved. Either Party shall have the right to change its Chairperson by written notice to the other Party. Responsibility for running each meeting of the JSC will alternate between the Chairpersons from meeting to meeting, with [[Forty Seven:Organization]]’s Chairperson running the first meeting.
