Joint Commercialization Committee. The JCC shall perform the following functions:

The JCC shall oversee Commercialization of the Licensed Product in the Field in the Territory. As soon as practicable following the Effective Date (but in no event more than thirty (30) days following the Effective Date), each Party shall designate its initial representatives on the JCC. Licensee shall appoint a person from among its representatives to serve as the chairperson of the JCC. The chairperson shall coordinate administrative activities of the JCC, but shall not have any greater authority than any other representative on the JCC. Each Party shall be free to change its representatives on notice to the other or to send a substitute representative to any JCC meeting; provided, however, that each Party shall ensure that at all times during the existence of the JCC, its representatives on the JCC are appropriate in terms of expertise and seniority (including at least one member of senior management) for the then-current stage of Commercialization of Licensed Product in the Field in the Territory and have the authority to bind such Party with respect to matters within the purview of the JCC.

Joint Commercialization Committee. At either Party’s request, the Parties shall establish a joint commercialization committee (the “Joint Commercialization Committee”) to monitor and facilitate the Commercialization of Licensed Products in the Field in the Territory and the ROW Territory, including the review and discussion of the parameters of a Global Brand Plan for the Licensed Products on an annual basis. The Parties may, in each of their sole discretions, seek to align on aspects of implementation of the Global Brand Plan in their Applicable Territory, including trademarks (names and logos), color and marketing strategy, and promotional campaigns and marketing messages based on the approved labeling of the Licensed Products in each Party’s Applicable Territory, in each case, subject to Applicable Law in each Party’s Applicable Territory.

The JCC’s primary responsibilities shall include, but shall not be limited to, the following functions or roles:

Joint Commercialization Committee. No later than the commencement of the first Initial Trial under the Joint Development Plan, the Parties shall form a Joint Commercialization Committee (the “JCC”) to oversee global Commercialization activities and to serve as a decision-making forum. The JCC shall consist of ​. Each Party shall be responsible for determining the qualifications and substitutions of its JCC members. It is anticipated that each Party’s representatives may include experts in clinical development, global commercialization, and supply. There must be a minimum of ​ from each Party at any meeting of the JCC to constitute a quorum for decision-making. No fewer than five (5) Business Days prior to each meeting, and in any event as soon as reasonably practicable, each Party shall use good faith efforts to disclose to the other Party any proposed agenda items together with appropriate supporting information. The Alliance Managers shall alternate responsibility for preparing and circulating definitive minutes of each meeting of the JCC. Such minutes shall provide a description, in reasonable detail, of the discussions at the meeting, a list of material actions and decisions made by the JCC, a list of action items made by the JCC and a list of material issues not resolved by the JCC.
