Joinder to Sponsor Agreement. Transferee hereby agrees to be bound by:

Joinder to Letter Agreement. Transferee hereby agrees to be bound by paragraph 6(b), paragraph 7(a) (subject to paragraph 7(c)) and paragraphs 11 through 16 of the Letter Agreement; in each case, to the same extent as if Transferee were an original party to the Letter Agreement (but solely for the purpose of the provisions of the Letter Agreement specified above and solely with respect to the Transferee Conversion Shares).

“Joinder Agreement” means a joinder agreement in the form of [Exhibit L].

“Joinder Agreement” means a Joinder Agreement in substantially the form of [Exhibit E].

“Joinder Agreement” shall mean a joinder agreement substantially in the form of [Exhibit 3] to the Security Agreement.

This Joinder may be executed in any number of counterparts and by different parties hereto in separate counterparts, each of which when so executed shall be deemed to be an original and all of which taken together shall constitute one and the same agreement. Delivery of an executed counterpart of this Joinder by facsimile or email (with a PDF copy attached) shall be effective as delivery of a manually executed counterpart of this Joinder.

Accordingly, the undersigned has executed and delivered this Joinder Agreement as of ​.

the Guarantor has the requisite power and authority and the legal right to execute and deliver this Joinder to Subsidiary Guaranty (“Joinder”) and to perform its obligations hereunder and under the Subsidiary Guaranty and has taken all necessary action to authorize its execution and delivery of this Joinder and its performance of the Subsidiary Guaranty;

The address, taxpayer identification number (if any) and jurisdiction of organization of the Subsidiary Borrower is set forth in [Annex I] to this Joinder Agreement.

Pursuant to each of the Agreements, the New Sponsor hereby: # acknowledges that the New Sponsor has received and reviewed a complete copy of such Agreement; and # acknowledges and agrees that upon execution and delivery of this Joinder to the other parties to such Agreement, the New Sponsor shall become a party to such Agreement, and will be fully bound by, and subject to, all of the terms and conditions of such Agreement, as amended or modified by this Joinder, as a party thereunder as though an original party thereto for all purposes of such Agreement.
