This Joinder may be executed in any number of counterparts and by different parties hereto in separate counterparts, each of which when so executed shall be deemed to be an original and all of which taken together shall constitute one and the same agreement. Delivery of an executed counterpart of this Joinder by facsimile or email (with a PDF copy attached) shall be effective as delivery of a manually executed counterpart of this Joinder.

Pursuant to each of the Agreements, the New Sponsor hereby: # acknowledges that the New Sponsor has received and reviewed a complete copy of such Agreement; and # acknowledges and agrees that upon execution and delivery of this Joinder to the other parties to such Agreement, the New Sponsor shall become a party to such Agreement, and will be fully bound by, and subject to, all of the terms and conditions of such Agreement, as amended or modified by this Joinder, as a party thereunder as though an original party thereto for all purposes of such Agreement.
