liens or rights of setoff against credit balances of Borrowers with Credit Card Issuers or Credit Card Processors or amounts owing by such Credit Card Issuers or Credit Card Processors to Borrowers in the ordinary course of business, but not liens on or rights of setoff against any other property or assets of Borrowers or Guarantors, pursuant to the Credit Card Agreements (as in effect on the Effective Date) to secure the obligations of Borrowers to the Credit Card Issuers or Credit Card Processors as a result of fees and chargebacks;

exercise on behalf of itself, the Lenders and the L/C Issuers all rights and remedies available to it, the Lenders and the L/C Issuers under the Loan Documents, including, directing the Collateral Agent to exercise the rights and remedies under the Collateral Documents (or at law or pursuant to the UCC);

“Creditor Parties” means, collectively, the Administrative Agent, the [[Loan Parties:Organization]] and the L/C Issuers.

“Lender Parties” means, collectively, the Lenders, the Swing Line Lenders and the L/C Issuers.

“Specified Party” means the Administrative Agent, the Issuers, the Swingline Lender and each other Lender.

“Lender Parties” and “Lender Recipient Parties” mean, collectively, the [[Loan Parties:Organization]] and the L/C Issuers.

exercise on behalf of itself, the L/C Issuers and the Lenders all rights and remedies available to it, the L/C Issuers and the Lenders under the Loan Documents, under any document evidencing Indebtedness in respect of which the Facilities have been designated as “Designated Senior Debt” (or any comparable term) and/or under applicable Law;

the consent of the L/C Issuers and the Swing Line Lender shall be required for any assignment.

Each of the Borrowers represents and warrants to the Agents, the Lenders, and the L/C Issuers that:

to file and prove a claim for the whole amount of the principal and interest owing and unpaid in respect of the Loans, Letter of Credit Obligations and all other Obligations that are owing and unpaid and to file such other documents as may be necessary or advisable in order to have the claims of the Lenders, the Issuers and the [[Administrative Agent:Organization]] (including any claim for the reasonable compensation, expenses, disbursements and advances of the Lenders, the Issuers and the [[Administrative Agent:Organization]] and their respective agents and counsel and all other amounts due the Lenders, the Issuers and the [[Administrative Agent:Organization]] under Sections 2.12, 12.3 and 12.4) allowed in such judicial proceeding; and
