Voluntary Termination or Termination for Cause. If Executive’s employment is terminated voluntarily or due to death or disability or is terminated for Cause by the Company, then except as set forth in Section 6, all payments of compensation by the Company to Executive hereunder will terminate immediately.

Voluntary Termination by the Company Other than for Due Cause, Death or Termination for Cause. IfDisability. The foregoing notwithstanding, the Company may terminate the Executive’s employment for any or no reason, as it may deem appropriate in its sole discretion and judgment; provided, however, that in the event such termination is terminated voluntarily ornot due to deathDeath, Disability or disabilityDue Cause, the Executive shall # be entitled to a Termination Payment as hereinafter defined and # be sent written notice stating the termination is not due to Death, Disability or is terminated for CauseDue Cause. In the event of such termination by the Company, then exceptthe Executive shall receive certain payments and benefits as set forth in Section 6, all payments of compensation by the Company to Executive hereunder will terminate immediately.this [Subsection 4(d)].

Voluntary Termination orTermination; Termination for Cause. If Executive’s employment is terminatedwith the Company terminates voluntarily by Executive or due to death or disability or is terminated for Cause by the Company, then exceptExecutive is not eligible for any benefits under this Agreement (except as set forth in Section 6, all payments of compensation byto Accrued Obligations and amounts already earned and/or stock options, warrants and/or restricted stock already vested at that time). If Executive voluntarily terminates his employment with the Company, he shall provide written notice to the Company [[Organization A:Organization]] at least forty-five (45) days prior to Executive hereunder will terminate immediately.terminating such employment.

Voluntary Resignation; Termination or Termination forFor Cause. If Executive’Executive's employment is terminatedwith the Company terminates # voluntarily by Executive (other than for Good Reason during the period following a Change in Control) or due to death or disability or is terminated for Cause by the Company, then except as set forth in Section 6, all payments of compensation# by the Company for Cause, then Company shall have no duty to make any payments or provide any benefits to Executive hereunder willpursuant to this Agreement other than the amount of Executive's Base Salary and Over-Time Allowance, if any, accrued through the Termination Date. The use of the term "Cause"in [Section 3.01.b.i] in no way limits the right of the Company to terminate immediately.Executive's employment pursuant to the provisions of this Article III. The Company must notify the Executive, in writing, that the Executive is being terminated for Cause, and such notice shall identify in reasonable detail the facts and events that the Company believes constitute Cause.
