Invitation for Competitive Bid Quotes. Promptly and in any event before the close of business on the same Business Day of receipt of a Competitive Bid Quote Request that is not rejected pursuant to Section 2.4.2, the Agent shall send to each of [[Organization B:Organization]] by telecopy or electronic mail an Invitation for Competitive Bid Quotes substantially in the form of [Exhibit E] hereto, which shall constitute an invitation by the Company to each Lender to submit Competitive Bid Quotes offering to make the Competitive Bid Loans to which such Competitive Bid Quote Request relates in accordance with this Section 2.4.

“Invitation for Competitive Bid Quotes” means an Invitation for Competitive Bid Quotes substantially in the form of [Exhibit 2.2](c).

“Benchmark Auction” means a solicitation of Competitive Bid Quotes setting forth Competitive Bid Margins pursuant to [Section 2.4].

The Borrowers hereby request that the Administrative Agent obtain Competitive Bid Quotes for a Competitive Bid Loan based upon the following:

Competitive Bid Loans. If such Loan is a Competitive Bid Loan, a rate of interest for such Competitive Bid Loan specified by the Lender making such Competitive Bid Loan in its notice with respect thereto delivered pursuant to [Section 3.02], payable on the interest payment date or dates specified by the Company for such Competitive Bid Loan in the related Notice of Competitive Bid Loan Borrowing delivered pursuant to [Section 3.02] and as provided in the Competitive Bid Loan Note, if any, evidencing such Competitive Bid Loan.
