Investor Status. The Purchaser is an institutional “accredited investor” within the meaning of Rule 501(a) of Regulation D promulgated under the Securities Act.

Investor Status. It # is an “accredited investor”, as that term is defined in Regulation D under the Securities Act, # has such knowledge, skill, sophistication and experience in business and financial matters, based on actual participation, that it is capable of evaluating the merits and risks of the purchase of the Notes from Company and the suitability thereof for Purchaser, # is a sophisticated purchaser with respect to the purchase of the Notes, # is able to bear the economic risk associated with the purchase of the Notes, # has had an opportunity to ask questions of the principal officers and representatives of Company and to obtain any additional information necessary to permit an evaluation of the benefits and risks associated with the investment made hereby, # has been provided adequate information concerning the business and financial condition of Company to make an informed decision regarding the purchase of the Notes, # has such knowledge and experience, and has made investments of a similar nature, so as to be aware of the risks and uncertainties inherent in the purchase of rights and assumption of liabilities of the type contemplated in this Agreement, # has independently and without reliance upon Company, and based on such information as such Purchaser has deemed appropriate, made its own analysis and decision to enter into this Agreement, except that such Purchaser has relied upon Company’s express representations and warranties in this Agreement and other Note Documents, and # is not an “affiliate” (as that term is defined in Rule 405 promulgated under the Securities Act) of Company or any of the Guarantors.

Investor Status. Chart E&C is an “accredited investor” as defined in Rule 501(a) under the Securities Act. Chart E&C was not organized for the purpose of acquiring the Shares and is not required to be registered as a broker-dealer under Section 15 of the Exchange Act.

Investor Status. At the time the Investor was offered the Acquired Shares, it was, and at the date hereof it is, an “accredited investor” as defined in Rule 501(a) under the Securities Act. The Investor is not a registered broker-dealer under Section 15 of the Exchange Act. The Investor has such experience in business and financial matters that it is capable of evaluating the merits and risks of an investment in the Acquired Shares. The Investor acknowledges that an investment in the Acquired Shares is speculative and involves a high degree of risk.

Investor Status. Such Investor is an “accredited investor” as such term is defined in Rule 501(a) of the rules and regulations promulgated under the Securities Act.

Investor Status. Investor # is either # a “Qualified Institutional Buyer” as such term is defined in Rule 144A under the Securities Act of 1933 or # an “accredited investor” as such term is defined in Rule 501 of Regulation D promulgated under the Securities Act of 1933; # has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of the investments to be made by it hereunder; # has the ability to bear the economic risks of its investments for an indefinite period of time; and # has sole investment discretion with respect to the Debt Exchange; and # has been given an opportunity to obtain such information from Issuer as Investor deems necessary or appropriate with respect to the Debt Exchange.

Accredited Investor Status. The Holder is an “accredited investor” within the meaning of Regulation D promulgated under the Securities Act.
