It is acquiring the Warrant, and (if and when it exercises this Warrant) it will acquire the Warrant Shares, for its own account for investment and not with a view to, or for sale in connection with, any distribution thereof, nor with any present intention of distributing or selling the same; and the Registered Holder has no present or contemplated agreement, undertaking, arrangement, obligation, indebtedness or commitment providing for the disposition thereof.

Investment. The undersigned company, Platinum Advisory Services LLC ("Investor"), intending to be legally bound, hereby irrevocably agrees to purchase stock in [[Organization A:Organization]], a Nevada corporation (the "Company"). Investor agrees to purchase shares of Company's common stock, par value $0.001 per share (the "Shares") for an aggregate purchase price of $3,000,000.00 (the "Purchase Price") with payment to be made in the form of credit for media support and services (the "Services") provided by the Investor and its affiliates to the Company, subject to insertion orders submitted by the Company that utilize the advertising rates set forth in [Schedule B]. Share quantity and price shall be determined and distributed to Investor in accordance with [Schedule C].

Section # Investment Experience. Each Principal Shareholder has such knowledge, experience and skill in evaluating and investing in securities, based on actual participation in financial, investment and business matters, so that he, she or it is capable of evaluating the merits and risks of an investment in the Purchaser Stock, and has such knowledge, experience and skill in financial, investment and business matters that he is capable of evaluating the merits and risks of the investment in Purchaser and the suitability of the Purchaser Stock as an investment and can bear the economic risk of an investment in the Purchaser Stock indefinitely. Each Principal Shareholder understands that no guarantees have been made or can be made with respect to the future value, if any, of the Purchaser Stock, or the profitability or success of Purchaser’s business.

Experience of Investor. Chart E&C, either alone or together with its representatives, has such knowledge, sophistication and experience in business and financial matters so as to be capable of evaluating the merits and risks of the prospective investment in the Shares, and has so evaluated the merits and risks of such investment.

The Actuarial Gain taken into account is limited to actuarial gain from investment experience;
