Investigations. There shall occur the initiation of any investigation, audit, examination or review of a ​ by an Agency, any Governmental Authority, any trade association or consumer advocacy group relating to the origination, sale or servicing of mortgage loans by such ​ or the business operations of ​ is likely to cause a Material Adverse Effect, with the exception of normally scheduled audits or examinations by ​’s regulators; or

Investigations. To the extent permitted by applicable Law, the Ceding Company shall promptly notify the Reinsurer, in writing, of any and all investigations of the Ceding Company conducted by any Governmental Entity commencing after the date hereof, other than investigations or routine examinations that do not relate to the business reinsured pursuant to this Agreement or would not otherwise reasonably be expected to adversely affect the performance by the Ceding Company of its obligations under this Agreement; provided, however, that the Ceding Company may withhold any notice otherwise required to be delivered pursuant to this [Section 16.02(a)] to the extent that the delivery thereof to the Reinsurer would result in a waiver of the attorney-client privilege, the work-product doctrine or any other applicable legal privilege or similar doctrine.

Investigations. During the Interim Period, in order to ensure compliance with the terms of this Agreement and the transactions contemplated hereby, the Company shall provide, and cause each of its Subsidiaries to provide, reasonable access upon reasonable notice during normal business hours, to the Company’s and its Subsidiaries’ executive management so that TerrAscend may

Investigations. To the extent permitted by applicable Law, the ​ shall promptly notify the ​ in writing of material investigations of the ​ conducted by any Governmental Entity commencing after the date hereof, other than # state insurance department examinations, investigations, proceedings or inquiries that do not specifically relate to the business reinsured pursuant to this Agreement, or # such examinations, investigations, proceedings or inquiries that would not reasonably be expected to adversely affect the performance by the ​ of its obligations under this Agreement and the Related Agreements; provided, that the ​ may withhold any notice otherwise required to be delivered pursuant to this [Section 16.02(a)] to the extent that the delivery thereof to the ​ would result in a waiver of the attorney-client privilege, the work-product doctrine or any other applicable legal privilege or similar doctrine.

Cooperation with Investigations/Litigation. Millian agrees, at the Company’s request, to reasonably cooperate, by providing truthful information, documents and testimony, in any Company investigation, litigation, arbitration, or regulatory proceeding regarding events that occurred during Millian’s employment with the Company. Millian’s requested cooperation may include, for example, making himself reasonably available to consult with the Company’s counsel, providing truthful information and documents, and appearing to give truthful testimony. The Company will, to the extent permitted by applicable law and court rules, reimburse Millian for reasonable out-of-pocket expenses that Millian incurs in providing any requested cooperation, so long as Millian provides advance written notice to the Company of Millian’s request for reimbursement and provides satisfactory documentation of the expenses. Nothing in this section is intended to, and shall not, preclude or limit Millian’s preserved rights described in [Section 10] below.

Criminal Conduct and Investigations. A Borrower commits or is indicted for committing any crime or if any proceeding or investigation by any Governmental Authority is pending an adverse disposition of which would be reasonably likely to result in the forfeiture of any material assets of ta Borrower to any Governmental Authority, federal, state or local.

No Judgments, Lawsuits, Investigations. Except as disclosed on [Schedule 6.1(i)], there are no # outstanding judgments, orders, injunctions or decrees of any judicial, governmental or regulatory body or arbitral tribunal against or affecting Farmor in relation to the Contract or the Contract Area; # lawsuits, actions or proceedings commenced, pending or, to the knowledge of Farmor, threatened in writing against Farmor in relation to the Contract or the Contract Area; or # investigations by any Governmental Entity which have been commenced or are pending or threatened in writing against Farmor, in all cases which would prevent Farmor from performing its obligations under this Agreement and any other documents to which it is a party, or is to become a party, pursuant to or in connection with this Agreement.

Litigation, Investigations, Audits, Etc. There shall be no action, suit, proceeding or investigation pending against, or, to the knowledge of the Borrower, threatened in writing against or in any other manner relating adversely to, the Borrower or any of its respective properties, in any court or before any arbitrator of any kind or before or by any Governmental Authority (including the FCC), except # such as affect the telecommunications industry generally or # as disclosed in the Borrower’s Annual Report on Form 10-K for the fiscal year ended ​, that would reasonably be expected to have a Material Adverse Effect.

Territory, and # to respond to inquiries, requests or investigations relating to Licensed Products or this Agreement;

Except as set forth on [Schedule 5.15(d)], no federal, state, local or foreign audits, examinations, investigations or other administrative proceedings (such audits, examinations, investigations and other administrative proceedings referred to collectively as “Audits”) or court proceedings are presently pending with regard to any Taxes or Tax Returns filed by or on behalf of a Subject Company.
