“Internally Generated Cash” means cash generated from the operations of the business of the Borrower and its Subsidiaries; provided that, notwithstanding the foregoing, “Internally Generated Cash” shall not include # the proceeds of any Indebtedness (excluding the ABL Debt), # the proceeds of Equity Issuances or # the proceeds of any insurance (other than business interruption insurance), indemnification or other payments from non-Loan Party Affiliates.

“Internally Generated Cash” means cash generated from the operations of the business of the Borrower and its Subsidiaries; provided that, notwithstanding the foregoing, “Internally Generated Cash” shall not include # the proceeds of any Indebtedness (excluding the ABL Debt), # the proceeds of the issuance of any Equity Interests or # the proceeds of any insurance (other than business interruption insurance), indemnification or other payments from non-Loan Party Affiliates.

Restricted Payments made by Holdings in cash to holders of its common equity from Internally Generated Cash;

“Project Available Cash” means, at any time, all cash internally generated by a Project Group, to the extent:

In connection with the Tribune Transactions or any other Permitted Acquisition financed with both internally generated cash (including cash on hand at Tribune and other target Persons[[Borrower:Organization]] and other sources of funding, the Borrower shall have the discretion to allocate any internally generated cash to specific purposes if such cash and other sources of funding are used substantially concurrently to consummate such transactions.

Consolidated Net Interest Expense paid in cash during such period to the extent paid with the proceeds of Internally Generated Cash;

Consolidated Net Interest Expense paid in cash during such period to the extent paid with the proceeds of Internally Generated Cash;

permitted Investments in non-Affiliates of the Borrower paid in cash during such period to the extent paid with the proceeds of Internally Generated Cash;

permitted Investments in non-Affiliates of the Borrower paid in cash during such period to the extent paid with the proceeds of Internally Generated Cash; and

“Internally Generated Cash” means, with respect to any period, any cash of Company or any Subsidiary generated during such period as a result of such Person’s operations, excluding Net Asset Sale Proceeds, Net Insurance/Condemnation Proceeds, Extraordinary Receipts, Net Equity Proceeds, and any cash that is generated from an incurrence of Indebtedness or any other liability.
