Intellectual Property Security Agreements. The Borrower and each Guarantor of Payment that owns federally registered intellectual property shall have executed and delivered to the Administrative Agent, for the benefit of the Lenders, an Intellectual Property Security Agreement, in form and substance satisfactory to the Administrative Agent.

Intellectual Property Security Agreements. Each Credit Party that owns U.S. registered intellectual property shall have executed and delivered to the Administrative Agent, for the benefit of the Lenders, an Intellectual Property Security Agreement, in form and substance reasonably satisfactory to the Administrative Agent.

Ratification of Intellectual Property Security Agreements. [[XOMA:Organization]] hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Intellectual Property Security Agreement dated as of May 7, 2018 between [[XOMA:Organization]] and Bank (the “[[XOMA:Organization]] IPSA”), and acknowledges, confirms and agrees that the [[XOMA:Organization]] IPSA # contains an accurate and complete listing of all Intellectual Property Collateral, as defined in the [[XOMA:Organization]] IPSA, and # shall remain in full force and effect. [[XOMA:Organization]] US hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Intellectual Property Security Agreement dated as of May 7, 2018 between [[XOMA:Organization]] US and Bank (the “[[XOMA:Organization]] US IPSA”), and acknowledges, confirms and agrees that the [[XOMA:Organization]] US IPSA # contains an accurate and complete listing of all Intellectual Property Collateral, as defined in the [[XOMA:Organization]] US IPSA, and # shall remain in full force and effect. Bermuda Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Intellectual Property Security Agreement dated as of May 7, 2018 between Bermuda Borrower and Bank (the “Bermuda Borrower IPSA”), and acknowledges, confirms and agrees that the Bermuda Borrower IPSA # contains an accurate and complete listing of all Intellectual Property Collateral, as defined in the Bermuda Borrower IPSA, and # shall remain in full force and effect.

Intellectual Property Security Agreements. With respect to its Intellectual Property, each Assignor agrees to execute or otherwise authenticate agreements, in substantially the form set forth in [Exhibits A] through C hereto, as applicable, or otherwise in form and substance satisfactory to Collateral Trustee (each, an “Intellectual Property Security Agreement”), for recording the security interest granted hereunder in such Intellectual Property with the United States Patent and Trademark Office, the United States Copyright Office and any other United States Governmental Authority necessary to perfect the security interest granted hereunder in such U.S. Intellectual Property.

Intellectual Property Security Agreements. Each Borrower and Guarantor of Payment that owns federally registered intellectual property shall have executed and delivered to the Administrative Agent, for the benefit of the Lenders, an Intellectual Property Security Agreement, in form and substance reasonably satisfactory to the Administrative Agent and the Lenders.

Reaffirmation of Security Agreement and Intellectual Property Security Agreements. The [[Administrative Agent:Organization]] shall have received the Reaffirmation of Security Agreement and Intellectual Property Security Agreements dated as of the date hereof, duly executed by an Authorized Officer of the Parent, the Borrower and each of their Subsidiaries (other than any Excluded Subsidiary).
