Intellectual Property. All Intellectual Property Rights owned by Seller and solely used in the Business as set forth on [Schedule 1.2] (collectively, the “Intellectual Property Assets”).

all Intellectual Property (including the Intellectual Property Registrations set forth on [Schedule 1.01(d)]) that is owned by Sellers and exclusively used or held for exclusive use in the conduct of the Business as currently conducted, together with all # royalties, fees, income, payments, and other proceeds now or hereafter due or payable to Sellers with respect to such Intellectual Property; and # claims and causes of action with respect to such Intellectual Property, whether accruing on or after the date hereof, including all rights to and claims for damages, restitution, and injunctive and other legal or equitable relief for infringement, misappropriation, or other violation thereof (the “Intellectual Property Assets”).
