Entire Agreement. This Agreement constitutes the full, entire and integrated agreement between the panies hereto with respect to tire subject matter hereof, and supersedes all prior negotiations, correspondence, understandings and agreements among the parties hereto respecting the subject matter hereof.

Any amendments or supplements to this Agreement shall be made in written agreements. Such amended and supplemental agreements upon due execution by the Parties shall constitute the integrated part of this Agreement with equal legal force and effect.

Amendment: This Agreement is the full and complete, integrated Agreement of the parties, merging and superseding all previous written and/or oral agreements and representations between and among the parties, and is only amendable in writing upon the agreement of all concerned parties.

We announce that the respective boards of FamilyMart Co., Ltd. (“FamilyMart”) and UNY Group Holdings Co., Ltd. (“UNY Group Holdings”) have today approved the directors and corporate auditors of the new integrated company “FamilyMart UNY Holdings Co., Ltd.” (“Integrated Company”), which will be established on ​, as follows.

Notice Regarding Management Structures of the New Integrated Company “FamilyMart UNY Holdings Co., Ltd.”,

This Agreement contains the entire agreement and understanding between each member of the Tenet Group and Executive and supersedes all prior negotiations and all agreements proposed or otherwise, whether written or oral, concerning the subject matter hereof. This is an integrated document.

The Company has not sold or issued any securities that would be integrated with the offering of the Placement Shares contemplated by this Agreement pursuant to the Securities Act or the interpretations thereof by the Commission.

Within five (5) business days of the the execution of this Agreement, ​ shall pay ​ (​) directly to ​’s vendor, Van Der Stahl, for an integrated peel tester;

“Processor” means a physically discrete integrated circuit chip having one or more Cores contained on it.

Multiple Counterpart Execution; Governing Law. This Agreement may be executed in multiple counterparts, which each counterpart constituting a binding agreement between the signatory parties, and with all such counterparts constituting an integrated document.
