Information and Access. [[Organization A:Organization]] will afford to the officers, accountants, legal counsel and other representatives of the Purchaser reasonable access to the properties, books, records and personnel of the Company in order that Purchaser may have full opportunity to make such investigation of the other as it reasonably desires to make in connection with the transactions contemplated hereby.

[[Organization A:Organization]] willthe Seller shall afford to the officers, accountants, legal counselattorneys, accountants and other authorized representatives of the Purchaser free and full access, during regular business hours and upon reasonable accessnotice, to the properties,Company’s books, recordsrecords, personnel and personnel ofproperties (including, without limitation, the Company in orderwork papers prepared by its auditors) so that the Purchaser may have full opportunity to make such review, examination and investigation as it may desire of the other as it reasonably desiresCompany’s (and its subsidiaries) business and affairs. The Company will cause its employees, accountants and attorneys to cooperate fully with said review, examination and investigation and to make in connection withfull disclosure to the transactions contemplated hereby.Purchaser of all material facts affecting the Company’s (and its subsidiaries) financial conditions and business operations.
