Data Packages. For each Research Program with respect to a Janssen Antigen, the Research Plan shall describe the contents of the DC Data Package and IND Data Package for such Research Program.

Information Packages and Weekly Reports. By no later than 4:00 p.m. on the second Business Day prior to each Settlement Date, or if such day is not a Business Day then on the next succeeding Business Day (and, during the continuation of an Event of Termination or an Unmatured Event of Termination, within three (3) Business Days after a request from the Administrative Agent or any Group Agent), the Servicer (or the Seller on its behalf) shall prepare and forward to the Administrative Agent and each Group Agent an Information Package, certified by the Servicer. In addition to the foregoing, at such times as # Ashland Global’s unsecured debt has a public rating from S&P below “BB-”, or # Ashland’s unsecured debt has a public rating from Moody’s below “Ba3”, the Servicer shall be obligated to prepare and forward to the Administrative Agent and each Group Agent a Weekly Report on every Thursday of each calendar week (or the next Business Day if such day is not a Business Day), certified by the Servicer (or the Seller on its behalf). The reporting period covered by a Weekly Report shall be the period ending on (and including) the Friday preceding the applicable reporting date and beginning on (and including) the Saturday preceding such Friday.

Option Exercise Data Packages. Within ​ following completion of the Research Plan for a Research Program, ​, MTEM shall deliver to BMS the Option Exercise Data Package for such Research Program. If BMS reasonably determines that any Option Exercise Data Package is incomplete or that any additional information that is in MTEM’s (or its Affiliate’s) Control regarding the applicable Collaboration Target or Development Candidates is necessary ​ in determining whether the criteria to be a Development Candidate have been met ​, then, within ​ after BMS’ receipt of such Option Exercise Data Package, BMS may give written notice to MTEM specifying the information required to be included in such Option Exercise Data Package or otherwise reasonably requested by BMS (“Incomplete Data Package Notice”). Following MTEM’s receipt of an Incomplete Data Package Notice, MTEM will ​ deliver to BMS the additional information that is in MTEM’s (or its Affiliate’s) possession and Control and specified in the Incomplete Data Package Notice and, within ​ of receipt of such additional information, BMS will provide a written acknowledgement to MTEM that the Option Exercise Data Package is complete or will provide another Incomplete Data Package Notice to MTEM. If BMS does not provide any Incomplete Data Package Notice within the ​ period above or, if BMS provides an Incomplete Data Package Notice within such ​ period and, within the ​ period above, does not provide either such written acknowledgement or another Incomplete Data Package Notice, then the Option Exercise Data Package will be deemed complete (a “Complete Data Package”). The Parties shall hold a JRC meeting no later than ​ after delivery of a Complete Data Package and, at such meeting, the JRC shall discuss the Complete Data Package and determine which ETBs Directed to the applicable Collaboration Target and

Delivery of POC Data Packages. Janssen shall notify Fate promptly ​ for each Licensed Product. Within ​ days thereafter, Fate shall notify Janssen of whether it desires to have Janssen prepare a data package with respect to such Licensed Product (the “POC Data Package” for such Licensed Product), which POC Data Package shall include:

Information, which have been created as a result of automatic archiving or backup procedures, may retain such number of copies of the Information for legal, regulatory, and compliance purposes, in a manner consistent with such Agent’s or Lender’s and its Representatives’ document archiving procedure, and which information shall remain confidential so long as such Information is retained in a manner consistent with such Agent’s or Lender’s and its Representatives’ internal confidentiality policies. Each Loan Party remains the owner of all its Information contained in all Derivate Documents. In addition, the Agents and Lenders shall not be obligated to return or destroy any Information contained in any documents or packages prepared for its board of directors or like body, but may retain such documents or packages in a manner consistent with such Agent’s or Lender’s internal confidentiality policies.

Information Packages. (A) As soon as available and in any event not later than two (2) Business Days prior to each Settlement Date, a Monthly Report as of the most recently completed calendar month and # during any Weekly Reporting Period, not later than the second Business Day of each calendar week, a Weekly Report as of the close of business on Friday of the most recently completed calendar week.
