Executive’s indictment of any felony involving moral turpitude (including entry of a nolo contendere plea);

Indictment. (i) Any Loan Party is # criminally indicted or convicted of a felony for fraud or dishonesty in connection with the Loan Parties’ business, or # charged by a Governmental Authority under any law that would reasonably be expected to lead to forfeiture of any material portion of Collateral, or # any director or senior officer of any Loan Party is # criminally indicted or convicted of a felony for fraud or dishonesty in connection with the Loan Parties’ business, unless such director or senior officer promptly resigns or is removed or

The indictment of any Loan Party, under any Applicable Law where the crime alleged would constitute a felony under Applicable Law and such indictment remains unquashed or such legal process remains undismissed for a period of 90 days or more, unless the Administrative Agent, in its reasonable discretion, determines that the indictment is not material; or[Reserved]; or

“Cause” means Executive’s: # dishonest statements or acts with respect to FivePrime, any subsidiary or any affiliate of FivePrime or any subsidiary; # commission by or indictment for # a felony or # any misdemeanor (excluding minor traffic violations) involving moral turpitude, deceit, dishonesty or fraud (“indictment,” for these purposes, meaning an indictment, probable cause hearing or any other procedure pursuant to which an initial determination of probable or reasonable cause with respect to such offense is made); # gross negligence, willful misconduct or insubordination with respect to FivePrime, any subsidiary or any affiliate of FivePrime or any subsidiary;

Indictment. The indictment of any Loan Party, under any Applicable Law where the crime alleged would constitute a felony under Applicable Law and such indictment remains unquashed or such legal process remains undismissed for a period of sixty (60) days or more; or

Indictment. The indictment or institution of any legal process or proceeding against, any Loan Party or any Restricted Subsidiary thereof, under any federal, state, municipal, and other criminal statute, rule, regulation, order, or other requirement having the force of law for a felony and such action or proceeding is reasonably expected to have a Material Adverse Effect;

Indictment. “Indictment” shall mean the U.S. Department of Justice superseding indictment with respect to [[Person A:Person]] unsealed on October 26, 2017.
