Independent Contractors. The Parties each acknowledge that they are separate entities, each of which has entered into this Services Agreement for independent business reasons. The relationships of the Parties hereunder (and the respective Providers and Recipients) are those of independent contractors and nothing contained herein shall be deemed to create a joint venture, partnership or any other relationship. Employees performing services hereunder do so on behalf of, under the direction of, and as employees of, the Provider, and the Recipient shall have no right, power or authority to direct such employees.

INDEPENDENT CONTRACTOR. Nothing contained in this Agreement shall be construed to create the relationship of joint venture or partnership between Service Provider and Recipient. Service Provider is an independent contractor and shall be free, subject to the terms and conditions of this Agreement, to exercise judgment and discretion with regard to the conduct of business.

Independent Contractors. The Parties herby acknowledge and agree that each is an independent contractor and that neither Party shall be considered to be the agent, representative, master or servant of the other Party for any purpose whatsoever, and that neither Party has any authority to enter into a contract, to assume any obligation or to give warranties or representations on behalf of the other Party. Nothing in this relationship shall be construed to create a relationship of joint venture partnership, fiduciary, or other similar relationship between the Parties.

The Parties expressly intend and agree that Service Provider is acting as an independent contractor, and neither Service Provider nor any Worker is an agent or employee of Customer. Nothing in this Agreement shall be construed or implied to create a relationship of partners, agency, joint ventures or of employer and employee as between Service Provider and Customer. Further, neither Service Provider nor its personnel, agents, subcontractors nor Workers have any authority whatsoever, expressed or implied, by virtue of this Agreement, whereby such persons or entities are authorized to commit Customer, in any way, to perform in any manner or to pay money for purchased services or materials.
