Independent Contracting Parties. The parties hereto expressly acknowledge that no employment, partnership or joint venture relationship is created by this agreement, and hereby agree as follows:

Either party may, without prior written consent of the other party, assign or transfer its rights and responsibilities under this Agreement to:

Independent Parties. This Agreement shall not be deemed to create any partnership, joint venture, amalgamation, or agency relationship between the Parties. Each Party shall act hereunder as an independent contractor and not as the agent of the other Party in performing the Services, maintaining control over its employees, its subcontractors and their employees and complying with all withholding of income at source requirements, whether federal, state, local or foreign. No employee of Service Provider providing Services shall be considered an employee of Service Recipient or any of its Affiliates.

Independent Parties. The Parties are independent contractors, and the relationship between the Parties does not constitute a partnership, joint venture or agency of any kind. Neither Party has the authority to make any Confidential

Independent Contracting Parties. The parties hereto expressly acknowledge that no employment, partnership or joint venture relationship is created by this agreement, and hereby agree as follows:

Independent Parties. It is expressly agreed that aTyr and Kyorin will be independent contractors and that the relationship between aTyr and Kyorin will not constitute a partnership, joint venture or agency. aTyr will not have the authority to make any statements, representations or commitments of any kind, or to take any action, which will be binding on Kyorin, without the prior written consent of Kyorin, and Kyorin will not have the authority to make any statements, representations or commitments of any kind, or to take any action, which will be binding on aTyr, without the prior written consent of aTyr.

Independent Status of Parties. Each party shall act as an independent contractor and shall not bind nor attempt to bind the other party to any contract, or any performance of obligations outside of this Agreement. Nothing contained or done under this Agreement shall be interpreted as constituting either party the agent of the other in any sense of the term whatsoever unless expressly so stated.

In connection with the Contracting Services, Urovant shall: # provide un-redacted copies of each Urovant Market Access Contract, Urovant Government Contract and Urovant GPO/IDN Contract entered into by Urovant to Sunovion to the extent not already provided, provided that Sunovion shall not use such Urovant Market Access Contracts, Urovant Government Contracts or Urovant GPO/IDN Contracts for any purpose other than in furtherance of Sunovion’s obligations under this Agreement, and # identify a Urovant employee to be a dedicated liaison that will communicate with Sunovion from time to time as reasonably requested by Sunovion to complete the Contracting Services.

Independent Contractor. The relationship between the Parties is that of independent contractors. Such Parties are not joint venturers, partners, principal and agent, employer and employee, and have no other relationship other than independent contracting parties. Such Parties’ obligations and rights in connection with the subject matter of this Agreement are solely and specifically as set forth in this Agreement, and such Parties acknowledge and agree that neither such Party owes the other any fiduciary or similar duties or obligations by virtue of the relationship created by this Agreement.
