Partial Indemnity. If Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for some, but not all, of Indemnitee's Indemnifiable Liabilities, the Company shall indemnify Indemnitee for the portion thereof to which Indemnitee is entitled.

Partial Indemnity. If Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for some,some or a portion of any Indemnifiable Loss, but not all,for all of Indemnitee's Indemnifiable Liabilities,the total amount thereof, the Company shall nevertheless indemnify Indemnitee for the portion thereof to which Indemnitee is entitled.

Partial Indemnity. If the Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for some,a portion of any Losses in respect of a Claim related to an Indemnifiable Event but not all, of Indemnitee's Indemnifiable Liabilities,for the total amount thereof, the Company shall nevertheless indemnify the Indemnitee for the portion thereof to which the Indemnitee is entitled.

If Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for some,some or a portion of Expenses, but not all, of Indemnitee's Indemnifiable Liabilities,not, however, for the total amount thereof, the Company shall nevertheless indemnify Indemnitee for the portion thereof to which Indemnitee is entitled. The parties agree that for purposes of determining such portion of the total Expenses to which Indemnitee is entitled under this paragraph, such allocation as is certified by affidavit of Indemnitee’s counsel shall be presumed conclusively as a reasonable allocation.

Partial Indemnity.Indemnification; Mandatory Indemnification. If Indemnitee is entitled under any provision of this Agreement to indemnification by the Company for some,a portion, but not all, of Indemnitee's Indemnifiable Liabilities,the Losses paid in settlement of a Claim, the Company shall nevertheless indemnify Indemnitee for the portion thereof to which Indemnitee is entitled. Moreover, notwithstanding any other provision of this Agreement, to the extent that Indemnitee has been successful on the merits or otherwise in defense of any or all Claims relating in whole or in part to an Indemnifiable Event or in defense of any issue or matter therein, including without limitation dismissal without prejudice, Indemnitee shall be indemnified against all Expenses incurred in connection therewith.
