“Fulcrum Indemnified Party” has the meaning set forth in [Section 9.1.1] (Indemnification by [[MyoKardia:Organization]]).

“[[MyoKardia:Organization]] Indemnified Party” has the meaning set forth in [Section 9.1.2] (Indemnification by Fulcrum).

“Acceleron Indemnified Party” has the meaning set forth in [Section 9.1.2] (Indemnification by Fulcrum).

Indemnification by Fulcrum. Fulcrum will indemnify [[MyoKardia:Organization]] and its Representatives (each, a “[[MyoKardia:Organization]] Indemnified Party”) from and against any Liability that the [[MyoKardia:Organization]] Indemnified Party may incur or otherwise be required to pay to one or more Third Parties in connection with any Third Party suit, investigation, claim or demand resulting from or arising out of:

Covenants of Fulcrum. During the Term, Fulcrum covenants to [[MyoKardia:Organization]] that:

and except, in each case, to the extent such claims fall within the scope of Fulcrum’s indemnification obligations under [Section 9.1.2] (Indemnification by Fulcrum).

By Fulcrum. In the event that [[MyoKardia:Organization]] desires Fulcrum to provide medicinal chemistry services and Fulcrum is willing to provide such services, then the Parties will thereafter negotiate in good faith to determine the activities, timelines, budgets, deliverables (including technology transfer, as appropriate) and other specifications of any Medicinal Chemistry Services to be performed by Fulcrum, and such matters would be set forth in a separate research plan.
