§10.4 Incumbency Certificate; Authorized Signers

the Recipient shall have delivered to the Investor a certificate addressing the incumbency of each officer of the Recipient who signs the Letter Agreement, the certificate referred to in [Section 2.3(c)] and, if applicable, the certificates representing the Preferred Shares (provided that if any such officer ceases to serve in such officer’s position following the Signing Date, then the Recipient shall deliver a duly updated incumbency certificate reflecting the incumbency of the respective officers as of the Closing);

corporate resolutions and incumbency certificate duly executed by TSS, with certified copies of its certificate of formation and operating agreement;

An officer incumbency and specimen signature certificate for CACI and each Initial Seller.

certificate duly executed by a Responsible Officer or secretary of Borrower with respect to Borrower’s # Operating Documents, # Borrowing Resolutions and # incumbency certificate;

received a certificate of such Person certifying as to the incumbency and genuineness of

Incumbency Certificates of Borrowers. Agent shall have received a certificate of the Chief Financial Officer, Secretary, an Assistant Secretary or the Manager, as applicable, of each Borrower, dated the Closing Date, as to the incumbency and signature of the officers of each Borrower executing this Agreement, the Other Documents, any certificate or other documents to be delivered by it pursuant hereto, together with evidence of the incumbency of such Chief Financial Officer, Secretary or Assistant Secretary;

a Certificate of the Secretary of # Borrower with respect to incumbency and resolutions authorizing the execution and delivery of this Amendment and # Parent with respect to incumbency and resolutions authorizing the execution and delivery of the Guaranty.

a certificate of the Secretary of Borrower with respect to incumbency and resolutions authorizing the execution and delivery of this Agreement;

or other constitutive document of such Loan Party have not been amended since the date of the last amendment thereto shown on the certificate of good standing furnished pursuant to [clause (i) above], and # as to the incumbency and specimen signature of each officer executing any Loan Document or any other document delivered in connection herewith on behalf of such Loan Party; and # a certificate of another officer as to the incumbency and specimen signature of a Responsible Officer executing the certificate pursuant to [clause (ii) above].
