Incorporation of Terms and Conditions of Credit Agreement. Except as amended hereby, all of the terms and conditions of the Credit Agreement (including, without limitation, all definitions set forth therein) are specifically incorporated herein by reference. Except as amended hereby, all capitalized terms used (including in the preamble hereto) but not otherwise defined herein shall have the same meaning as in the Credit Agreement, as applicable.

Incorporation of Terms and Conditions of Credit Agreement. All of the terms and conditions of the Credit Agreement (including, without limitation, all definitions set forth therein) are specifically incorporated herein by reference. The terms of this Amendment (together with the attached three (3) page Acknowledgement and Agreement of Guarantors) are expressly incorporated into the Loan Agreement as if set forth in full therein. Except as expressly amended by this Amendment, the Loan Agreement and the Promissory Notes (which shall as of the Effective Date include the Amended and Restated Promissory Note (Operating LOC Loan) and the Amended and Restated Promissory Note (Letter of Credit Loan)) will remain in full force and effect in accordance with their original terms, not subject to any defense, counterclaim or right of set-off.

Incorporation of Terms and Conditions of Credit Agreement. All of the terms and conditions of the Credit Agreement (including, without limitation, all definitions set forth therein) are specifically incorporated herein by reference (except as amended hereby). All capitalized terms not otherwise defined herein shall have the same meaning as in the Credit Agreement.

Incorporation of Credit Agreement Provisions. The provisions contained in [Article 12] (Choice of law; venue and jury trial waiver; California waivers) and [Section 13.2] (Indemnification) of the Credit Agreement are incorporated herein by reference to the same extent as if reproduced herein in their entirety.

Incorporation of Terms. Except as expressly provided in this Section 13.4, Sub-Subtenant hereby assumes and agrees to perform each and every obligation of Sub-Sublandlord under the Master Sublease with respect to the Premises. Notwithstanding the foregoing, # to the extent of any inconsistencies between the express terms of this Sub-Sublease and the terms of the Superior Leases incorporated herein by reference, the express terms of this Sub-Sublease shall control, and # Sub-Subtenant shall have no renewal or extension rights, or rights to terminate the Master Sublease, whether following a casualty or condemnation event, or otherwise.

Incorporation of Credit Agreement Provisions. The provisions of [Sections 9.3] (Expenses; Indemnification), 9.6 (Successors and Assigns), 9.8 (Governing Law; Submission to Jurisdiction; Judgment Currency), 9.9 (Counterparts; Integration; Effectiveness) and 9.10 (Waiver of Jury Trial) of the Credit Agreement are incorporated herein by reference as if set forth in full herein, mutatis mutandis.

Incorporation of Credit Agreement. The provisions contained in [Article 13] (Confidentiality), [Section 14.04] (Binding Effect), [Section 14.06] (Governing Law; Consent to Jurisdiction; Waiver of Objection to Venue), [Section 14.07] (Waiver of Jury Trial), [Section 14.12] (Execution in Counterparts; Severability; Integration; Electronic Delivery) and [Section 14.14] (Third Party Beneficiary) of the Credit Agreement are incorporated herein by this reference, mutatis mutandis.
