Incentive and Deferred Compensation. Executive shall be eligible to participate in all incentive and deferred compensation programs available this executive position, executives or officers of [[the Company:Organization]]. Such participation to be in similar form, under similar terms for each specified executive level, and to the same extent that such programs are made available to other such executives for each executive position or officers.

Incentive Compensation and Benefits. During the Extension Period, the Executive’s incentive compensation opportunities and other benefits shall be as set forth in the Employment Agreement.

Recovery of Incentive Compensation. This award of Restricted Stock Units and any cash or other compensation received by Participant pursuant to this award that constitutes incentive-based compensation may be subject to recovery by the Company under any compensation recovery, recoupment or clawback policy that the Company may adopt from time to time, including without limitation any policy that the Company may be required to adopt under Section 954 of the Dodd-Frank Wall Street Reform and Consumer Protection Act and the rules and regulations of the U.S. Securities and Exchange Commission thereunder or the requirements of any national securities exchange on which the Stock may be listed. Participant shall promptly return any such incentive-based compensation that the Company determines it is required to recover from Participant under any such policy.

Unless the Committee provides otherwise, # earned Executive Incentive Compensation shall be paid during the fiscal year of the Company immediately following the end of the applicable Performance Period, but unless the Committee determines otherwise, no later than 2½ months after the end of such Performance Period, and # such payment shall be made in cash (subject to any payroll tax withholding the Company may determine applies).

Base Salary and Incentive Compensation. For Plan Years beginning before January 1, 2019, the maximum amount that an Eligible Employee may elect to defer for a Plan Year (or portion thereof following the date of election, in the case of a pre-January 1, 2019 mid-year election pursuant to [Section 3.2(b)(i)]) shall be 80% of his or her Base Salary, and 100% of his or her Incentive Compensation for such Plan Year (or portion thereof). For Plan Years beginning on or after January 1, 2019, the maximum amount that an Eligible Employee may elect to defer for a Plan Year shall be 80% of his or her Base Salary, and 80% of his or her Incentive Compensation for such Plan Year.

Non-Equity Incentive Plan Compensation. Executive shall remain eligible to receive non-equity incentive plan compensation for the fiscal year ending April 28, 2018 under the Company’s Management Incentive Compensation Plan. Executive shall not receive any other additional non-equity incentive plan compensation.

Long-Term Incentive Compensation Plans. Loggenberg shall be entitled to participate in any long-term incentive compensation plan adopted by the [[Organization B:Organization]] for the benefit of officers and/or regular employees.

As compensation for his services hereunder, the Company shall pay to Executive during the Term:

Compensation. Subject to the approval of the Company’s Board of Directors, Advisor will be granted a nonstatutory stock option under the Company’s 2014 Equity Incentive Plan to purchase up to 142,132 shares of the Company’s Common Stock. 1/24th of the aggregate number of shares subject to such option shall vest on the corresponding day of each month after July 30th 2014 subject to Advisor continuing to be a service provider to the Company through each such date. The option will be evidenced by and subject to all of the terms of the Company’s form of stock option agreement.

Compensation. As compensation for your services to the Company,you will receive upon execution of this Agreement a compensation of $30,000 for each calendar year of service under this Agreement on a pro-rated basis,payable on a monthly basis.You shall be reimbursed for reasonable expenses incurred by you in connection with the performance of your Duties (including travel expenses for in-person meetings).
