Long Term Incentive Compensation. Employee shall receive a long term incentive opportunity pursuant to the terms of the Long Term Incentive Plan of the Employer at a target of 30% of base compensation consisting of grants of time based restricted stock units and performance based restricted stock units. Actual stock earned is variable from 0% to 200% of target based on achievement of certain metrics established by the Compensation Committee of the Board of Directors of the Employer.

Long Term Incentive Compensation. Employee shall receive a long term incentive opportunity pursuant to the terms of the Long Term Incentive Plan of the Employer at a target of 40% of base compensation consisting of grants of time based restricted stock units and performance based restricted stock units. Actual stock earned is variable from 0% to 200% of target based on achievement of certain metrics established by the Compensation Committee of the Board of Directors of the Employer. For fiscal year 2016, subject to approval by the Compensation Committee, Employee will be awarded a long term incentive stock grant equal to One Hundred Thousand Dollars ($100,000). The number of shares subject to this grant shall be based on the closing price of the Common Stock of ​ on the date approved by the Compensation Committee.

Long-Term Incentive Bonus Awards. Employee will receive awards under the Company’s long-term cash-based and/or equity-based programs, which may include stock options, stock appreciation rights, performance and non-performance restricted stock or restricted stock units, and/or cash, as determined by the Compensation Committee. Employee will receive stock awards approved by the Compensation Committee at its July 11, 2016 meeting with an aggregate grant value of approximately $1 million, containing such terms as the Compensation Committee shall provide.
