TRANSFER. This Warrant shall be binding upon the Company and its successors and assigns, and shall inure to be the benefit of the Holder and its successors and assigns. Notwithstanding anything to the contrary herein, the rights, interests or obligations of the Company hereunder may not be assigned, by operation of law or otherwise, in whole or in part, by the Company without the prior signed written consent of the Holder, which consent may be withheld at the sole discretion of the Holder (any such assignment or transfer shall be null and void if the Company does not obtain the prior signed written consent of the Holder). This Warrant or any of the severable rights and obligations inuring to the benefit of or to be performed by Holder hereunder may be assigned by Holder to a third party, in whole or in part, without the need to obtain the Company’s consent thereto.

Successors and Assigns. Subject to the restrictions on transfer set forth in this Warrant and compliance with applicable securities laws, this Warrant may be assigned by the Holder. This Warrant may not be assigned by the Company without the written consent of the Holder except to a successor in the event of a Fundamental Transaction. This Warrant shall be binding upon the Companyon and its successors and assigns, and shall inure to be the benefit of the Company and the Holder and itstheir respective successors and assigns. Restriction on Transfer. Notwithstanding anything to the contrary herein, the rights, interests or obligations of the Company hereunder may not be assigned, by operation of law or otherwise,hereof are transferable, in whole or in part, byupon surrender of this Warrant, together with a properly executed assignment in the form attached hereto, at the office or agency of the Company withoutreferred to in Paragraph 7(e) below, provided, however, that any transfer or assignment shall be subject to the prior signed written consentconditions set forth in Paragraph 7(f) hereof. Until due presentment for registration of transfer on the books of the Holder, which consent may be withheld at the sole discretion of the Holder (any such assignment or transfer shall be null and void ifCompany, the Company doesmay treat the registered Holder hereof as the owner and Holder hereof for all purposes, and the Company shall not obtain the prior signed written consent of the Holder).
