Implementation. Without limitation of the foregoing, the Party responsible for activities in connection with the Development of Licensed Products for use in the Licensed Field as set forth in the Development Plan shall have the right, without seeking JDC approval, to make operational decisions consistent with the terms of this Agreement that reasonably implement the Development Plan but do not require a change thereto.

Implementation. Each Party will assign, and does hereby assign, to the other Party such Patent Rights, Know-How or other intellectual property rights as necessary to achieve ownership as provided in this Section 6.1.1. Each assigning Party will execute and deliver all documents and instruments reasonably requested by the other Party to evidence or record such assignment or to file for, perfect or enforce the assigned rights. Each assigning Party will make its relevant employees, agents and independent contractors (and their assignments and signatures on such documents and instruments) reasonably available to the other Party for assistance in accordance with this Section 6.1.1 at no charge.

Implementation Date. With respect to the Covered Aircraft under this Agreement as of the Effective Date, Contractor shall make such Covered Aircraft available for operations and the performance of Regional Airline Services on and after the Effective Date as contemplated by this Agreement. For Covered Aircraft added to this Agreement following the Effective Date, Contractor shall make the Covered Aircraft available for operations and the performance of Regional Airline Services at the Hubs as contemplated by this Agreement on or before the Implementation Date as noted on [Schedule 1] attached hereto (the “Implementation Date”), unless otherwise Consented to by American and Contractor; it being understood that the date such Covered Aircraft commences providing Regional Airline Services shall be deemed its Implementation Date. The Parties hereto agree that [Schedule 1] hereto may be amended or updated from time to time as set forth in this Agreement.

Interface Implementation.Attached hereto as [Exhibit 3] are Cellnet's specifications for its standard interface (the "Standard Interface Specifications"). Laclede shall, in accordance with the time period set forth in [Exhibit 2], develop, at its own expense, a complete, integration tested and fully operational interface for the Laclede systems impacted by this Agreement (the "Laclede Interface"). The Laclede Interface must have the capacity to # collect the MIU installation database and the [[Laclede:Organization]] Data from Cellnet, # transmit the post MIU installation and any ongoing Laclede database maintenance files to Cellnet, and # collect the Fixed Network Data posted by Cellnet on the FTP Server.

Implementation Deed. The Operating Partnership shall not have consented to any amendment, modification or waiver or to any departure from the terms of the Implementation Deed if same is materially adverse to the Lenders, without the consent of the Arrangers (such consent not to be unreasonably withheld, delayed or conditioned) (it being understood that any amendment or modification to the definition of “Material Adverse Change” (as defined in the Implementation Deed) shall be deemed materially adverse to the Lenders).

Interface Changes or New Interface Implementation. The Parties are not obligated to

Joint Ownership Implementation. As regards Joint Serendipitous Inventions and the Program Patents to the extent claiming them, either Party is entitled to practice and license them without consent of and without a duty of accounting to the other Party. Each Party hereby grants all permissions, consents and waivers with respect to, and all licenses under, the Joint Serendipitous Inventions and the Program Patents claiming them as necessary to achieve throughout the world the nature of joint ownership rights of the foregoing as described in Section 5.1 (Ownership and Inventorship) and the foregoing sentence. To avoid doubt, this Section 5.2(b) (Joint Ownership Implementation) does not imply any permission, consent or waiver with respect to, or license under, any Patent or item of Know-How other than the Joint Serendipitous Inventions and the Program Patents to the extent claiming them.

Throughout the Term, [[Google:Organization]] will make available and, unless removed from the list of Sites or Approved Client Applications, or ​ in accordance with [Section 7.3(a)], Company will implement and maintain each of the Services on each of the Sites and Approved Client Applications. For clarity, Company may not implement the Services on a property that is not a Site or Approved Client Application.

#[[Gogo:Organization]] shall ensure that the Portal includes an IPTV EPG that is substantially similar to the user interface illustrated in Figure R-1. The IPTV EPG shall include American Marks at American’s sole discretion. [[Gogo:Organization]] shall ensure that the IPTV EPG includes a Dish mark at all times, and the size, placement and display of such Dish mark shall remain consistent with the size, placement and display of such mark on the IPTV EPG as of the Amendment and Restatement Effective Date unless and until a change to size, placement or display of the Dish mark is requested by American in its reasonable discretion and agreed in a MCP executed by the Parties, provided that American represents and warrants it maintains the right to modify the Dish mark as requested. Figure R-1 provides an example of an acceptable use of a Dish mark. As between the Parties, [[Gogo:Organization]] shall be responsible for the development and implementation of the IPTV EPG as set forth in this Section 4.

Further Implementation Services. In addition to the Set-up Activities covered by the LoI, Supplier shall provide the following services, as further specified in Annex 3 (Further Implementation Services) (the “Further Implementation Services”):
