The Grant or payment on account thereof shall not be taken into account in determining any benefits under any severance, retirement, welfare, insurance or other benefit plan of ALLETE or any affiliate except to the extent otherwise expressly provided in writing in such other plan or an agreement thereunder.

If a Participant incurs a Termination of Employment and begins receiving, installment payments from the ERA and such Participant is reemployed by the Employer or an Affiliate, then such Participant's installment payments will continue as scheduled during the period of his reemployment.

Other Benefits. The Incentive Bonus is a special payment to you and will not be taken into account in computing the amount of salary or compensation for purposes of determining any bonus, incentive, pension, retirement, death or other benefit under any other bonus, incentive, pension, retirement, insurance or other employee benefit plan of any member of the Company Group, unless such plan or agreement expressly provides otherwise.

Other Benefits. You will continue to be eligible to participate in all of the Company’s plans, practices, policies and programs, including the Company’s Severance Program for Officers, and to receive all fringe benefits and perquisites generally available to senior executives of the Company, as in effect from time to time.

Other Benefits. In addition to the compensation provided for in [subparagraphs (a) and (b)])] above, and upon approval by the President / CEO, the Executive shall be entitled during the Term of his employment under this Agreement to participate in the following personal benefits provided by the Bank:

During the term of this Agreement, the Executive shall be eligible to participate in incentive, stock purchase, savings, retirement (401(k)), and welfare benefit plans, including, without limitation, health, medical, dental, vision, life (including accidental death and dismemberment) and disability insurance plans (collectively, “Benefit Plans”), in substantially the same manner and at substantially the same levels as the Company makes such opportunities available to the Company’s managerial or salaried executive employees and/or its senior executives.

Other Benefits. CEO shall be entitled to paid vacations, personal and sick days consistent with the policy of USPB. CEO shall receive other compensation as approved by the Board of Directors and shall participate in all fringe benefits approved by the Board of Directors (including, without limitation, group medical, life, disability and accidental death and dismemberment insurance) and benefit plans which shall be available from time to time to management employees of USPB.

Other Benefits. Additional Benefits as delineated in [Section 8(d)(iii)(C)] above except that in subsection # the reference to “eighteen (18) months” shall be changed to “twenty-four (24) months” and in subsection # the reference to “nine (9) month” shall be changed to “twelve (12) months.”

Other Benefits. If an employee experiences a Qualifying Retirement and timely executes and does not revoke a Release, in a form satisfactory to the Company which shall include a two-year non-competition and non-solicitation period, the employee is also eligible for the employee’s annual bonus, based on actual performance of the Company and prorated based on number of days employee was employed in the year of employee’s Qualifying Retirement. Payment under this section, if any, will be made as soon as is practical after the end of the year and no later than March 15 of the year following employee’s Qualifying Retirement.

Other Benefits. The benefits provided under this Agreement shall, except to the extent otherwise specifically provided herein, be in addition to, and not in derogation or diminution of, any benefits that Employee or his or her beneficiary may be entitled to receive under any other contract, plan or program now or hereafter maintained by the Company, or its subsidiaries, including any and all stock options and other equity-based award agreements.

Other Benefits. The Executive shall be eligible to participate in or receive benefits under the Company’s full-time U.S. employee benefit plans in effect from time to time, subject to the terms of such plans.

Other Benefits. During the Employment Period, except for equity compensation and severance, Executive will be entitled to participate in employee benefit plans or programs for which senior executives generally are eligible, subject to the terms and conditions of such plans or programs as in effect from time to time. Nothing in this Agreement will preclude any member of the Company Group from amending or terminating any of their employee benefit plans or programs from time to time. Executive will be entitled to four (4) weeks paid vacation plus Company designated holidays during each calendar year of the Employment Period. In all other respects, the Company’s vacation policies shall apply to vacations including with respect to use and accrual.

Other Benefits. Except # as required by law, # as specifically provided in this Section 5, # for the payment of earned but unpaid Base Salary through the Termination Date or vested employee benefits under Company benefit plans (other than severance plans), and # the payment of any incurred but unreimbursed business expenses, the Company’s obligation to make any payments or provide any other benefits hereunder shall terminate automatically as of the Termination Date.

Other Benefits. Executive shall receive such other benefits as are then customarily provided generally to the other senior officers of the Company and of its subsidiaries, as determined from time to time by the Board or the Chief Executive Officer, including, without limitation, paid vacation in accordance with the Company’s practices as in effect from time to time.

Other Benefits. Proteostasis offers a range of fringe benefit plans, including a 401(k) plan and medical, dental, life, and disability insurances. Some of these plans require that you share in the cost; some are paid for by the Company. Information relating to these plans has previously been made available to you. You will be entitled to participate in or receive benefits under the Company’s existing and future employee benefit plans, as amended or adopted time to time, subject to the terms and conditions of those employee benefit plans.
