Any provision of this Agreement held to be illegal, invalid or unenforceable in any jurisdiction, shall, as to such jurisdiction, be ineffective to the extent of such illegality, invalidity or unenforceability without affecting the legality, validity or enforceability of the remaining provisions hereof and the illegality, invalidity or unenforceability of a particular provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

Any provision of this Agreement held to be illegal, invalidinvalid, illegal or unenforceable in any jurisdiction,jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such illegality, invalidityinvalidity, illegality or unenforceability without affecting the legality, validity orvalidity, legality and enforceability of the remaining provisions hereofhereof; and the illegality, invalidity or unenforceability of a particular provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

Any provision of this Agreement held to be illegal, invalidwhich is invalid, illegal or unenforceable in any jurisdiction,jurisdiction shall, as to suchthat jurisdiction, be ineffective to the extent of such illegality, invalidityinvalidity, illegality or unenforceabilityunenforceability, without affecting the legality, validity or enforceability ofin any way the remaining provisions hereof and the illegality, invalidityin such jurisdiction or unenforceabilityrendering that or any other provision of a particular provision in a particular jurisdiction shall not invalidatethis Agreement invalid, illegal or render unenforceable such provision in any other jurisdiction.

Any provision of this Agreement held to be illegal, invalidthat is prohibited or unenforceable in any jurisdiction,jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such illegality, invalidityprohibition or unenforceability without affecting the legality, validity or enforceability ofinvalidating the remaining provisions hereofhereof, and the illegality, invalidityany such prohibition or unenforceability of a particular provision in a particularany jurisdiction shall (to the full extent permitted by law) not invalidate or render unenforceable such provision in any other jurisdiction.

Any provision of this Agreement held to be illegal, invalidinvalid, illegal or unenforceable in any jurisdiction,jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such illegality, invalidityinvalidity, illegality or unenforceability without affecting the legality, validity orvalidity, legality and enforceability of the remaining provisions hereofhereof; and the illegality, invalidity or unenforceability of a particular provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction. The parties hereto shall endeavor in good-faith negotiations to replace any invalid, illegal or unenforceable provisions with valid provisions the economic effect of which comes as close as possible to that of the invalid, illegal or unenforceable provisions.

Any provision of this Agreement held to be illegal,which is invalid or unenforceable because of violating the relevant laws in any jurisdiction,jurisdiction shall, as to suchthat jurisdiction, be ineffective to the extent of such illegality, invalidity or unenforceabilityunenforceability, without affecting the legality, validity or enforceability ofin any way the remaining provisions hereof and the illegality, invalidity or unenforceability of a particular provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.hereof.

If any provision of this Agreement held to be illegal, invalidis or becomes invalid, illegal or unenforceable in any respect in any jurisdiction, shall, as to such jurisdiction, be ineffective to the extent of such illegality, invalidityinvalidity, illegality or unenforceability without affecting the legality, validityin such jurisdiction shall not render invalid, illegal or enforceability ofunenforceable such provisions in any other jurisdiction or affect the remaining provisions hereof andof this Agreement. Such invalid, illegal or unenforceable provision shall be replaced by the illegality, invalidityparties with a provision which comes as close as reasonably possible to the commercial intentions of the invalid, illegal or unenforceability of a particular provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.provision.

Section # Severability.
