You are eligible for relocation benefits under the Company Relocation Policy; the policy is enclosed. Our relocation management company is Relocation Synergy. They will contact you directly. Note that relocation benefits are subject to you signing our Relocation Repayment Agreement Form. In addition to the benefits outlined in the policy, we will provide up to 90 days of temporary housing assistance.

Temporary Benefits. The Executive will be provided a bi-weekly housing allowance of ​.48 until the sooner of Executive’s relocation to Sweden or ​. Economy class commercial airfare for the Executive and his family may be charged directly to the Company through the Company’s corporate travel agent for one round-trip journey to Spain from the USA in ​.

5.4Housing and Travel. During the Term, the Company shall provide Executive with # housing commensurate with Executive’s position, in a form acceptable to Executive, which may include a hotel, extended stay lodging or other arrangement at no cost to Executive and # air transportation between Executive’s primary residence to the Company’s headquarters, in each case, as determined by the Company in its sole discretion.

Expense Reimbursement. Executive shall be entitled to reimbursement for all reasonable expenses, including travel, temporary housing, and entertainment, incurred by Executive in the performance of Executive’s duties, including pre-employment travel expenses relating to interviewing that have been submitted to the Company. Executive will maintain records and written receipts and shall follow all Company policies and procedures for reimbursement of expenses.

All laborers and mechanics employed or working upon the site of the work (or under the United States Housing Act of 1937 or under the Housing Act of 1949 in the construction or development of the project), will be paid unconditionally and not less often than once a week, and without subsequent deduction or rebate on any account (except such payroll deductions as are permitted by regulations issued by the Secretary of Labor under the Copeland Act (29 CFR part 3)), the full amount of wages and bona fide fringe benefits (or cash equivalents thereof) due at time of payment computed at rates not less than those contained in the wage determination of the Secretary of Labor which is attached hereto and made a part hereof, regardless of any contractual relationship which may be alleged to exist between the contractor and such laborers and mechanics.

Notwithstanding the foregoing, no prepayment fee shall be due or payable # in the event that, at any time during the Loan term, the Loan is refinanced through an ​ Federal Housing Administration Loan pursuant to underwriting criteria approved by ​ and subject to approval by ​ of refinancing terms, or # pursuant to the provisions of Paragraph 6(a) of the Environmental Indemnity (hereinafter defined).

We have agreed that you will be commuting in your new role with the Company. During this commuting period you will receive a special allowance reflecting the pre-tax payment of ​ per month (paid bi-weekly). This is approximately ​ per year which, on an after-tax basis, represents a reasonable cost for local housing and to offset travel costs associated with regular trips to Michigan.

“Eligible Loans” means Single-family Loans that are amortizing Conforming Mortgage Loans with original terms to stated maturities of thirty (30) years or less and that satisfy all applicable requirements of this Agreement for Conforming Mortgage Loans, and shall also mean Single-family Loans that are FHA Mortgage Loans, Rural Development Housing Guaranteed Mortgage Loans, State Housing Bond Mortgage Loans, Jumbo Mortgage Loans, Super Jumbo Mortgage Loans, High LTV Mortgage Loans and Mortgage Loan (USBHM), that otherwise meet all criteria for Eligible Loans set forth on this [Schedule EL] and are not subject to a Disqualifier. Each Mortgage Loan must be secured by a first priority Lien on its related Mortgaged Premises. It may bear interest at a fixed interest rate, at a fluctuating interest rate or at a fixed or fluctuating interest rate for part of its term followed, respectively, by a fluctuating or fixed interest rate for the remainder of its term. No Mortgage Loan shall be an Eligible Loan at any time:

You will receive a Goods and Services allowance, where applicable, using information that we receive from our cost of living data provider. If applicable, you will be paid this allowance every month to offset the difference in costs for goods and services between your home country and your Host location. The current rate as of the date hereof will be ​ per month and subject to change effective ​. This index is based upon the Cost Effective Home Country Index. This will become effective the date you move into long term housing and cease to be reimbursed for temporary living expenses. This allowance will cease the date you move out of permanent housing in the Host country, or if you have to leave the Host country for an extended period. It is your responsibility to notify your International Assignment Analyst about the dates you move in and/or out of temporary living.

(www) Co-op Loan: Compliance with Law. With respect to each Co-op Loan, the related Co-op Corporation that owns title to the related Co-op Project is a “cooperative housing corporation” within the meaning of Section 216 of the Internal Revenue Code, and is in material compliance with applicable federal, state and local laws which, if not complied with, could have a material adverse effect on the Mortgaged Property.
