Brokers or Finders. The Company represents, as to itself and its Affiliates, that, no agent, broker, investment banker, financial advisor or other firm or person is or will be entitled to any brokers’ or finder’s fee or any other commission or similar fee in connection with any of the transactions contemplated by this Agreement.

None of ​ or the ​ or any Person acting on behalf of ​ or the ​ has engaged any finder, broker, intermediary or any similar Person in connection with the Exchange.

Neither Cosmos nor any Person acting on behalf of Cosmos has engaged any finder, broker, intermediary or any similar Person in connection with the Exchange.

Brokers and Finders. No agent, broker, investment banker or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Purchaser or the Purchaser Affiliates in connection with the transactions contemplated by this Agreement and the other Transactional Agreements as a result of any arrangements entered into by the Seller or the Seller Affiliates, other than fees due to Goldman Sachs Bank Europe SE, Succursale Italia which will be paid by the Seller.

That certain Energy Server Use and License Agreement, dated as of ​, by and between Home Depot U.S.A., Inc. and Buyer.

None of ​, the ​, or any officer, director, independent contractor, consultant, agent or employee of ​ has agreed to pay, or has taken any action that will result in any person or entity becoming obligated to pay or entitled to receive, any investment banking, brokerage, finder’s or similar fee or commission in connection with this Agreement or the Transactions. ​ and the ​ shall jointly and severally indemnify and hold Cosmos harmless against any liability or expense arising out of, or in connection with, any such claim.

No Brokers or Finders. No Person has or will have, as a result of any act or omission of the Stockholder, any right, interest or valid claim against or upon the Company for any commission, fee or other compensation as a finder or broker, or in any similar capacity, in connection with the transactions contemplated by this Agreement.
