Each of the Seller, LD and the Representing Party understand that their investment in the Shares and the Contingent Consideration Warrants involves a high degree of risk;

High Degree of Risk. The Purchaser understands that its agreement to purchase the Securities involves a high degree of risk which could cause the Purchaser to lose all or part of its investment.

High Risk Investment. Grantee understands that there is a very high degree of risk in this investment. An investment in A-Mark should not be made by any purchaser who cannot afford the loss of your entire investment. Only if Grantee is an investor who can tolerate such risk should Grantee purchase the Shares.

It is aware that an investment in the Notes and shares of Common Stock, if any, issuable upon conversion thereof involves a high degree of risk, and such securities are, therefore, a speculative investment.

The Buyer understands that its investment in the Note and the shares of Common Stock involves a high degree of risk;

HIGH RISK USE WARNING. THE PRODUCTS ARE NOT DESIGNED OR INTENDED FOR HIGH RISK USE SCENARIOS WHERE FAILURE OR FAULT OF ANY KIND OF THE PRODUCT COULD REASONABLY BE SEEN TO LEAD TO DEATH OR SERIOUS BODILY INJURY, OR TO SEVERE DAMAGE TO TANGIBLE OR INTANGIBLE PROPERTY OR THE ENVIRONMENT.

Such Subscriber understands that its investment in the Company involves a high degree of risk and is able to bear the economic risk of such investment for an indefinite period of time, including the risk of a complete loss of such Subscriber’s investment in the Common Units.

High Degree of Risk. The Purchaser understands that its agreement to purchase the Forward Purchase Securities involves a high degree of risk which could cause the Purchaser to lose all or part of its investment.
