Employee acknowledges that this Agreement shall be binding on Employee, and on Employee’s spouse, heirs, administrators, representatives, executors, successors and assigns.

This Agreement is binding upon Employee and upon Employee’s heirs, administrators, representatives, executors and assigns and shall inure to the benefit of the RELEASEES and their heirs, administrators, representatives, executors, successors and assigns.

This Agreement will inure to the benefit of and be binding upon the respective heirs, executors, administrators, successors and assigns, as the case may be, of the Employer and the Employee.

This Agreement shall enure to the benefit of and be binding upon and enforceable by the Employee and the Employee’s heirs, executors, administrators and other legal personal representatives and upon the Corporation and its successors and assigns provided that the Corporation shall not assign this Agreement other than by operation of law without the prior written consent of the Employee.

This Agreement shall bind and inure to the benefit of and be enforceable by Employee, the Company and their respective permitted successors or assigns (including personal representatives, heirs and legatees), except that Employee may not assign any rights or obligations under this Agreement except to the extent, and in the manner, expressly permitted herein.

Effect on Successors of Interest. This Agreement shall inure to the benefit of and be binding upon heirs, administrators, executors, successors and assigns of each of the parties hereto. Notwithstanding the above, the Employee recognizes and agrees that his obligation under this Agreement may not be assigned without the consent of the Company.
