The Executive shall be entitled to participate in regular employee fringe benefit programs to the extent such programs are offered by the Company to its executive employees, including, but not limited to, medical, hospitalization and disability insurance and life insurance that are substantially consistent with the programs of the Company in effect prior to the Commencement Date.

Fringe Benefits and Employee Benefits. Executive shall be entitled to participate in regularthe employee fringe benefit plans, practices, and programs to the extent such programs are offeredmaintained by the CompanyCompany, as in effect from time to itstime, that are generally available to other senior executive employees, including, but not limited to, medical, hospitalizationemployees of the Company, including retirement plans, supplemental retirement plans, deferred compensation plans, life insurance plans, medical insurance plans, dental plans, accidental death and disability insuranceplans, and life insurance that are substantially consistent with the programs of the Company in effect prior to the Commencement Date.other fringe benefits.

During the programsEmployment Period, the Company shall the same portion of the Companycosts of such benefits and programs as other senior executive employees for Executive. In the event that the provision of, or payment for, such benefits is prohibited or otherwise adversely impacted by the Patient Protection and Affordable Care Act or other similar laws, the Parties shall negotiate in effect priorgood faith to the Commencement Date.determine an equitable benefit in lieu thereof.

Executive shall be entitled to participate in regular employeeall benefit/welfare plans, long-term incentive programs, and other fringe benefit programsbenefits provided to the extentCompany senior executives at comparable levels.
