“Guarantee Agreement” means the Guarantee Agreement, dated as of the Effective Date, among the Borrower, the Co-Borrower, the other Loan Parties and the Administrative Agent, substantially in the form of [Exhibit D], together with all supplements thereto.

“Guarantee Agreement” means the First Lien Guarantee Agreement among the Loan Parties and the Administrative Agent, substantially in the form of [Exhibit C].

“Guarantee and Security Agreement” means that certain Guarantee and Security Agreement dated as of the Effective Date among the Borrower, the Subsidiary Guarantors, the Administrative Agent, each holder (or a representative or trustee therefor) from time to time of any Designated Indebtedness, and the Collateral Agent.

“Guarantee and Security Agreement” means the Guarantee and Security Agreement, dated as of December 6, 2006, and amended and restated as of the Original Effective Date, attached as [Exhibit B] to the Original Credit Agreement, between the Borrower, the Subsidiary Guarantors, the Administrative Agent, each “Financing Agent” and “Designated Indebtedness Holder” (as each such term is defined in the Guarantee and Security Agreement) from time to time party thereto, and the Collateral Agent, as the same shall be modified and supplemented and in effect from time to time.
