You have been granted an option to purchase Common Stock of the [[Plan Administrator:Organization]], subject to the terms and conditions of the Plan and this Option Agreement, as indicated on this “Notice of Grant of Stock Options and Option Agreement.”

Grant of Restricted Stock. The Company has granted to you, the Participant, the number of Shares specified in the Notice of Grant on the preceding page (the “Notice of Grant”), subject to the following terms and conditions. In consideration of such grant, you agree to be bound by the terms and conditions of this Agreement and of the Plan.

[[Organization A:Organization]] (the “Company”) has granted, pursuant to the [[Organization A:Organization]] 2022 Equity Incentive Compensation Plan (the “Plan”), to the Participant named in the Notice of Grant of Nonqualified Stock Option (the “Grant Notice”) to which this Nonqualified Stock Option Agreement is attached (together with the Grant Notice, this “Agreement”) an Option to purchase the number of Common Shares set forth in the Grant Notice, subject to the terms and conditions set forth in this Agreement.

Grant Under Plan. This option is granted pursuant to and is governed by [[Organization A:Organization]]’s 2007 Stock Option and Incentive Plan (the “Plan”) and, unless the context otherwise requires, terms used herein shall have the same meaning as in the Plan.

Grant of Option. Subject to the relevant terms of the Plan and this Agreement, as of the Grant Date, the [[Organization A:Organization]] has granted the [[Person A:Person]] the number of Options set forth in the Award Letter.

Subject to the provisions of this Agreement and the provisions of the ​ 2004 Omnibus Incentive Plan (the “Plan”), the Company hereby grants to Grantee the number of restricted stock units shown above (the “Restricted Stock Units”) as of GRANT DATE (the “Grant Date”). Capitalized terms used and not defined in this Agreement have the meanings given to them in the Plan.

Plan Incorporated By Reference. Notwithstanding anything to the contrary anywhere else in this Option Agreement, this grant of an Option is subject to the terms, definitions, and provisions of the Plan, which is incorporated herein by reference.

Grant. Subject to the restrictions, limitations, terms and conditions specified in the Plan and this Agreement, effective as of the Award Date, Southwestern hereby grants the Participant ​ RSUs.
