Grant of Restricted Stock Units. The Company hereby grants to the Participant named in the Notice of Grant of Restricted Stock Units in Part I of this Agreement an Award of Restricted Stock Units under the Plan, subject to all of the terms and conditions in this Agreement and the Plan, which is incorporated herein by reference. Notwithstanding any contrary provision of this Agreement, in the event of a conflict between the terms and conditions of the Plan and of this Agreement, the terms and conditions of the Plan will control.

Grant of Option. The Administrator of the Company hereby grants to the Participant named in the Notice of Stock Option Grant in Part I of this Agreement (“Participant”), an option (the “Option”) to purchase the number of Shares set forth in the Notice of Stock Option Grant, at the exercise price per Share set forth in the Notice of Stock Option Grant (the “Exercise Price”), and subject to the terms and conditions of the Plan, which is incorporated herein by reference. Subject to [Section 18] of the Plan, in the event of a conflict between the terms and conditions of the Plan and this Option Agreement, the terms and conditions of the Plan shall prevail.

(b) “Award Agreement” means a written agreement between the Company and a holder of an award evidencing the terms and conditions of an individual award grant. Each Award Agreement shall be subject to the terms and conditions of the Plan and this Sub-Plan.

​ (the “Company”) has granted, pursuant to the ​ 2022 Equity Incentive Compensation Plan (the “Plan”), to the Participant named in the Notice of Grant of Nonqualified Stock Option (the “Grant Notice”) to which this Nonqualified Stock Option Agreement is attached (together with the Grant Notice, this “Agreement”) an Option to purchase the number of Common Shares set forth in the Grant Notice, subject to the terms and conditions set forth in this Agreement.

This Stock Option will vest and become exercisable according to the vesting schedule set forth above except as otherwise provided in this Grant Agreement and except to the extent a severance plan applicable to the Employee provides otherwise, subject to the Employee’s compliance with the terms and conditions of the Plan and this Grant Agreement.

Adjustments. The terms and conditions of the grant evidenced by this Agreement are subject to mandatory adjustment, including as provided in Section 12 of the Plan.

Terms of this Amendment. Landlord and Tenant acknowledge and agree that the economic terms set forth in Paragraphs 2, 3 and 4 of this Amendment shall not be construed as an admission by either Landlord or Tenant of the fair market rental value for the Additional Premises. Landlord and Tenant also agree that Landlord and Tenant will not disclose the economic terms set forth in Paragraphs 2, 3 and 4 of this Amendment in any arbitration or similar proceeding to determine the fair market rental value of the Existing Premises or any portion thereof. Landlord’s or Tenant’s submission of this Amendment with the economic terms set forth in Paragraphs 2, 3 and 4 hereof redacted shall not be deemed a violation of the foregoing covenant.

Grant of RSUs. Subject to the relevant terms of the Plan and this Agreement, as of the Grant Date, the Company has granted the [[Team Member:Person]] the number of RSUs set forth in the Award Letter.

You have been granted an option to purchase Common Stock of the [[Plan Administrator:Organization]], subject to the terms and conditions of the Plan and this Option Agreement, as indicated on this “Notice of Grant of Stock Options and Option Agreement.”

Grant Under Plan. This option is granted pursuant to and is governed by [[Organization A:Organization]]’s 2007 Stock Option and Incentive Plan (the “Plan”) and, unless the context otherwise requires, terms used herein shall have the same meaning as in the Plan.
