[Schedule 4.7(b)] lists all material Permits currently held by the ​. All applications required to have been filed for the renewal of all such Permits have been duly filed on a timely basis with the appropriate Governmental Entity, and all other filings required to have been made with respect to each such Permit have been duly made on a timely basis with the appropriate Governmental Entity. The ​ has not received written notice of any material violation of any Law applicable to the ​ or the Business.

Except as disclosed in [Schedule 4.7(a)], (i) the ​ has all material Permits issuable by Governmental Entities and required thereby for the ownership and operation of the Business as presently conducted, # all such material Permits are in full force and effect and no action, claim or proceeding is pending nor, to Seller’s Knowledge, threatened, to suspend, revoke, cancel, terminate, or materially and adversely modify any such material Permit or declare any such material Permit invalid, # the ​ has filed all necessary reports and maintained and retained all necessary records pertaining to such material Permits and # the ​ is and has been in compliance in all material respects with all of the Laws, Orders and Permits applicable to its existence, financial condition, operations, and Business.
