Subject to the terms and conditions of this Grant Agreement and of the Plan, the Company hereby grants to the Employee PARSUs together with dividend equivalent units, as set forth below.

Two vesting requirements must be satisfied on or before the Expiration Date in order for a Restricted Stock Unit to vest (in whole or in part) – a time and service-based requirement (the “Time-Based Component”) and the occurrence of a Liquidity Event (the “Performance-Based Component”). If both the Time-Based Component and the Performance-Based Component are satisfied, the Restricted Stock Unit will vest on the first date upon which both of those requirements were satisfied with respect to that particular Restricted Stock Unit.

Grant of Stock. An aggregate of # shares of Common Stock of the Company (the “Grant”) pursuant to and subject to the terms and conditions of this Award and the Plan. The shares covered by this Grant shall vest on Month day, year.

Grant of Stock. Standex International Corporation, a Delaware corporation (the “Company”), which for purposes hereof shall also include any subsidiary of the Company, hereby awards, as of this GRANT DATE, to PARTICIPANT NAME (the “Participant”) a Stock Grant Award (“Grant”), to receive an aggregate of NUMBER OF SHARES GRANTED shares of Common Stock, $1.50 par value (“Common Stock”), of the Company pursuant to and subject to the terms and conditions of this Grant and the Standex International Corporation 2018 Omnibus Incentive Plan (the “Plan”).

Grant. Restricted Stock Units may be granted at any time and from time to time as determined by the Administrator. After the Administrator determines that it will grant Restricted Stock Units, it will advise the Participant in an Award Agreement of the terms, conditions, and restrictions related to the grant, including the number of Restricted Stock Units.

Grant of Performance Units. Subject to the provisions of Sections 5 and 6, Performance Units may be granted to Participants at any time and from time to time as shall be determined by the Committee. The Committee shall have complete discretion in determining the number of Performance Units granted to each Participant. Such entitlements of a Participant with respect to his or her outstanding Performance Units shall be reflected by a bookkeeping entry in the records of the Company, unless otherwise provided by the Award Agreement.

Grant of Performance Units. Subject to the terms and provisions of the Plan, the Committee, at any time and from time to time, may grant Performance Units under the Plan to such Key Employees and Non-Employee Directors and in such amounts as it shall determine. Participants receiving such Awards are not required to pay the Company therefor (except for applicable tax withholding) other than the rendering of services. The Committee is expressly authorized to grant Performance Units that are deferred compensation covered by Code Section 409A, as well as Performance Units that are not deferred compensation covered by Code Section 409A.

The Company hereby grants the Grantee LTIP Units in Nordic Operating Partnership S.C.A., subject to the terms and conditions of this LTIP Unit Award Agreement (this “Agreement”) and subject to the provisions of the Plan and the Agreement of Nordic Operating Partnership S.C.A. (the “Partnership Agreement”). The Plan is incorporated herein by reference as though set forth herein in its entirety.

The Executive is hereby awarded Restricted Stock Units which shall vest based on the financial performance of the Company. The Restricted Stock Units shall vest on , if the average of the Company’s annual return on equity ("ROE") for calendar years through ("Performance Period") is equal to per cent ( %) or more. ROE for each calendar year in the Performance Period shall be calculated by dividing the Company’s net earnings for the calendar year by the average monthly stockholder equity during such year.
