The Committee is hereby authorized to grant Awards of Restricted Stock and Restricted Stock Units to Participants.

Grant of Restricted Awards. The Committee is hereby authorized to grant Awardsmay make grants of Restricted Stock andand/or Restricted Stock Units to Participants. Each Restricted Award shall be evidenced by an Award Agreement setting forth the number of shares of Restricted Stock or number of Restricted Stock Units granted and the terms and conditions to which the Restricted Award is subject. Restricted Awards may be granted by the Committee in its discretion with or without cash consideration.

Restricted Stock and Restricted Stock Units. The Committee is hereby authorized to grant Awardsan Award of Restricted Stock and Restricted Stock Units to Participants.Eligible Persons with the following terms and conditions and with such additional terms and conditions not inconsistent with the provisions of the Plan as the Committee shall determine:

Issuance. The Committee is hereby authorized to grant to Participants Awards of Restricted Stock, which shall consist of Shares, and Restricted Stock Units which shall give the Participant the right to receive cash, Shares, other securities, other Awards or other property, in each case subject to the termination of the Restricted Period determined by the Committee. Notwithstanding the following terms, the Committee may impose other terms that may be more or less favorable to the Company as it deems fit. In the absence of any such differing provisions, Awards of Restricted Stock and Restricted Stock Units to Participants.shall have the provisions described below.

Restricted Stock Unit Award. The Committee is hereby authorized to grant Awards of Restricted Stock Unit Awards to any Eligible Person on the following terms and Restricted Stock Units to Participants.conditions:

Subject to the provisions of the Plan, the Committee is hereby authorizedshall have sole and complete authority to grant Awards ofdetermine the Participants to whom Restricted Stock and Restricted Stock Units shall be granted, the number of shares of Restricted Stock or the number of Restricted Stock Units to Participants.be granted to each Participant, the duration of the period during which, and the conditions under which, the Restricted Stock and Restricted Stock Units may be forfeited to the Company, and the other terms and conditions of such Awards. The Restricted Stock and Restricted Stock Unit Awards shall be evidenced by Award Agreements in such form as the Committee shall from time to time approve, which agreements shall comply with and be subject to the terms and conditions provided hereunder and any additional terms and conditions established by the Committee that are consistent with the terms of the Plan.

Restricted Stock Units. The Committee is hereby authorizedmay, from time to grant Awardstime and upon such terms and conditions as it may determine, authorize the granting or sale of Restricted Stock and Restricted Stock Units to Participants. Each such grant or sale may utilize any or all of the authorizations, and will be subject to all of the requirements, contained in the following provisions:
