Grant of Stock Units. Pursuant to the provisions of # the Plan, # the individual Notice of Grant governing the grant, and # this Award Agreement, the Company has granted to the Director the number of Stock Units set forth on the applicable Notice of Grant. Each vested Stock Unit shall entitle the Director to receive from the Company one share of the Company’s common stock (“Common Stock”) in accordance with this Award Agreement.

Grant of Stock Units. Pursuant to the provisions of # the Plan, # the individual Award Agreement governing the grant, and # these Terms and Conditions, the Company has granted to the Director the number of Stock Units set forth on the applicable Award Agreement. Each vested Stock Unit shall entitle the Director to receive from the Company one share of the Company's common stock ("Common Stock") upon the earlier of the Director’s separation from service, the Payment Date or upon a Change in Control (to the extent provided in Section 13).

Grant of Stock Units. The Company hereby grants to the Director an Award of ​ Stock Units on the terms and conditions set forth herein and in the Plan. Each Stock Unit represents the right of the Director to receive an amount equal to the Fair Market Value of a Share on the date that payment is made with respect to the Stock Unit.

On the Grant Date, the Company hereby grants to Participant an Award of Stock Units (the “Award”) in accordance with the Plan and subject to the conditions set forth in this Agreement and the Plan. Each Stock Unit represents the right to receive one Common Share (as adjusted from time to time pursuant to [Section 15] of the Plan) subject to the fulfillment of the vesting and other conditions set forth in this Agreement. By accepting the Award, Participant irrevocably agrees on behalf of Participant and Participant’s successors and permitted assigns to all of the terms and conditions of the Award as set forth in or pursuant to this Agreement and the Plan.
