The plan administrator is:

Severance benefits are paid by the Company from its general assets. There are no funds set aside for such benefits.

with respect to any term, covenant or provision set forth herein which specifically contains a notice requirement or grace period, if ​ shall be in default under such term, covenant or condition after the giving of such notice or the expiration of such grace period;

“Allowable Grace Period” has the meaning ascribed to such term in Section 3(q).

Notwithstanding any contrary provision contained in this Note, the amount of any installment of principal or of any installment of interest or of any installment of both principal and interest, whichever is applicable, which is not paid when due, or within the grace period specified herein, shall bear interest from the last day of such grace period until paid in full at the then maximum lawful rate.

Any Financial Indebtedness of any member of the Group is not paid when due nor within any originally applicable grace period.

if there shall be a material default by any Borrower under any Management Agreement beyond any applicable notice or grace period;

note of similar debt instrument into which the Company has entered and failed to cure such default within the appropriate grace period; or

PEA Period. There shall not be an active PEA Period.

The definition of the Commitment Period as set forth in [Annex 1] (Definitions) of the Agreement shall be deleted and replaced in its entirety by the following definition:
