Governmental Consents. The execution, delivery and performance by the Credit Parties of the Loan Documents to which they are parties and the consummation of the transactions contemplated by the Loan Documents do not and will not require any Governmental Approvals.

The execution, delivery, and performance by the Seller of the Facility Documents to which the Seller is a party and the consummation of the transactions contemplated by the Facility Documents do not and will not require any registration with, consent, or approval of, or notice to, or other action with or by, any Governmental Authority, other than registrations, consents, approvals, notices, or other actions that have been obtained and that are still in force and effect and except for filings and recordings with respect to the Sold Assets and Seller Collateral to be made, or otherwise delivered to the Administrative Agent for filing or recordation, as of the Closing Date.

The execution, delivery, and performance by Master Servicer of the Facility Documents to which the Master Servicer is a party and the consummation of the transactions contemplated by the Facility Documents do not and will not require any registration with, consent, or approval of, or notice to, or other action with or by, any Governmental Authority, other than registrations, consents, approvals, notices, or other actions that have been obtained and that are still in force and effect and except for # filings and recordings with respect to the Sold Assets and Seller Collateral to be made, or otherwise delivered to Administrative Agent for filing or recordation, as of the Closing Date and # as could not reasonably be expected to have a Material Adverse Effect.
