Governmental Authorizations, Etc. Governmental Authorizations. No authorization, approval or other action by, and no notice to or filing with, any Governmental Authority is required for either # the pledge or grant by any Credit Party of the Liens purported to be created in favor of Administrative Agent pursuant to any of the Security Documents or # the exercise by Administrative Agent of any rights or remedies in respect of any Collateral (whether specifically granted or created pursuant to any of the Security Documents or created or provided for by Applicable Law), except for filings or recordings contemplated by the Security Documents.

Governmental Authorizations. The Contributor shall obtain, make and keep in full force and effect all authorizations from and registrations with Governmental Authorities that may be required for the validity or enforceability against the Contributor of this Agreement and the other Transaction Documents to which it is a party.

Company and Holdings shall have obtained all Governmental Authorizations and all consents of other Persons, in each case that are necessary or advisable to be obtained by them, in connection with the transactions contemplated by the Credit Documents and each of the foregoing shall be in full force and effect and in form and substance reasonably satisfactory to the Administrative Agent. All applicable waiting periods shall have expired without any action being taken or threatened by any competent authority which would restrain, prevent or otherwise impose adverse conditions on the transactions contemplated by the Credit Documents or the financing thereof and no action, request for stay, petition for review or rehearing, reconsideration, or appeal with respect to any of the foregoing shall be pending, and the time for any applicable agency to take action to set aside its consent on its own motion shall have expired.

All applicable waiting periods shall have expired without any action being taken or threatened by any competent authority that would restrain, prevent or otherwise impose adverse conditions on the transactions contemplated by the Note Documents to occur on or prior to the Closing Date or the financing thereof and no action, request for stay, petition for review or rehearing, reconsideration, or appeal with respect to any of the foregoing shall be pending, and the time for any applicable agency to take action to set aside its consent on its own motion shall have expired.

Each Loan Party shall have obtained all authorizations and consents of all Governmental Authorities and any other required Person, in each case that are necessary in connection with the transactions contemplated by the Loan Documents and the continuing operations of the Borrower and its Subsidiaries and each of the foregoing shall be in full force and effect and in form and substance reasonably satisfactory to the Administrative Agent. There shall be no # injunctions or temporary restraining orders which, in the judgment of the Administrative Agent, would prohibit the making of the Loans on the Effective Date or # litigation which could reasonably be expected to result in a Material Adverse Effect on the Borrower and its Subsidiaries.
