Governmental Consents. Subject to necessary Bankruptcy Court approval and/or regulatory approvals associated with the transactions contemplated by this Agreement, including any Bankruptcy Court approval and/or regulatory approval for any Alternative E-Side Plan Document, the execution, delivery and performance by it of this Agreement does not, and shall not, require any registration or filing with, consent or approval of, or notice to, or other action to, with or by, any federal, state, or other governmental authority or regulatory body.

No Conflicts. Subject to necessary Bankruptcy Court approval and/or regulatory approvals associated with the transactions contemplated by this Agreement, including any Bankruptcy Court approval and/or regulatory approval for any Alternative E-Side Plan Document, the execution, deliverydelivery, and performance byof this Agreement, does not and shall not violate any provision of law, rules or regulations applicable to it in any material respect. Moreover, the execution, delivery, and performance of this Agreement does not,not and shall not, require any registrationnot: # violate its certificate of incorporation, bylaws, or filingother organizational documents; or # conflict with, consent or approvalresult in a breach of, or constitute (with due notice to, or other action to, withlapse of time or by,both) a default under any federal, state,contractual obligation to which it is a party, which conflict, breach, or other governmental authority or regulatory body.default, would have a material adverse effect on the transactions contemplated by this Agreement.
